TERM SHEET TO POTENTIAL BIDDERS FOR BLUEHEAVENISLAND AT AUCTION 24 JUNE, 2011 In order to avoid any unnecessary delays and to avoid a cancellation of purchase/sale agreement, it is mandatory for all bidders to follow the instructions below prior to bidding on the property known as Blueheavenisland. 1. Bidder must be pre-approved by auctioneer/owner. 2. Bidder must show proof of funds, or a capability letter from an approved institution/bank. 3. Bidder must discuss the details of the property with the auctioneer/owner. 4. Bidder must confer with attorney Maitre Gishenue regarding the method title is to be taken. Buyer agrees to use the services of Maitre Gishenue, the attorney handling regional business and real estate matters in French Polynesia. 5. Within 24 hours of auction closing, upon successful bid, buyer will deposit in escrow of Seller’s choosing, non-refundable funds of 10% of the purchase price, which will be applied toward the purchase price. Should buyer fail to close escrow, these funds will be non refundable and will be sent by escrow holder to the seller, less any escrow fees, and other costs and fees to be paid to the auctioneer. The balance of the purchase price, plus closing costs will be sent by buyer to escrow no later than 15 days after successful bid/close of auction. 6. Buyer will execute all documents, including purchase contract and addenda required to complete the sale within 10 days of the close of auction. 7. Buyer agrees to close escrow within 30 days of successful bid. Buyer will be in default if Buyer fails to close escrow within 30 days of successful bid. If Buyer fails to close escrow within 30 days, escrow holder will cancel escrow and send the non-refundable deposit to the seller, less escrow and auction expenses and fees. Registration at the auction finalizes each bidder's agreement to the terms and conditions of sale as stated in the Contract and its Addenda, which are incorporated by reference into your bidding. DO NOT BID unless you have registered and received a Bidder's Card and Sale Day Notes and agreed to be bound by the terms of sale in the Purchase Contract as they are final upon you becoming a high bidder. All properties are sold "AS IS, WHERE IS" with no financing, inspection or other contingencies to sale.
