2016 STERLING TRADITIONS TERMS AND CONDITIONS FOR OUR AUCTION BIDDERS AND BUYERS IMPORTANT These terms and conditions apply to all online bidding at auction sales conducted by or in conjunction with Sterling Traditions ("Online Bidding"). By registering to participate in a Sterling Traditions auction sale ("Sale" or "sale") via Online Bidding, you expressly agree to these Terms and Conditions. These Sterling Traditions Online Bidding Terms and Conditions are supplemental, meaning that they shall apply in addition to the general Conditions of Sale and other terms and conditions applicable to bidders and buyers participating in the subject Sale (collectively, the "Bid Conditions") and shall be deemed incorporated by reference and made a part of the Bid Conditions for such Sale. The general Bid Conditions may be published in a catalog for the Sale (the "Catalog") and/or on our web site, among other places. Additional information applicable to the Sale may also be set out in a Catalog and/or on our web site and it is your responsibility to review that information. Please be aware that announcements affecting the Sale may also be made before and during the Sale without prior notice. In registering to bid at any Sale, you agree to the applicable Bid Conditions. References in this document to "Sterling Traditions", "we" or "us" or "our" mean Sterling Traditions and any successors and assigns thereto. References herein to "you" and "your" and "Bidder" and "Buyer" mean the person or entity registering to bid or bidding in a Sale via the Online Bidding service. By bidding at auction you agree to be bound by these Conditions of Sale. BEFORE THE AUCTION 1. Our auctions are in English. 2. Please make sure you can read and understand our Terms & Conditions, before you bid, as they will be binding. 3. If English is not your native language, it is understood that you will have a professional translator help you to understand our Terms & Conditions before you make a bid. 4. Your bidding in this auction means that you understand and accept our Terms & Conditions. 5. Our auctions have bidding limitations and restrictions applied. 6. If you have any outstanding dispute with any other auction house, you will not be permitted to bid in our auctions. 7. It is strongly advised that you try to settle your existing dispute(s) before registering to bid in our Sale. 8. FAIR WARNING: We advise you to not try to wait until the last minute to place your first bid as you may be locked out from the bidding because of the above conditions. 9. All items are sold "AS IS", without any Warranty, express or implied. 10. ALL SALES ARE FINAL. 11. If you have ANY questions whatsoever about the item or our Terms and Conditions, please ask BEFORE placing your bid. REGISTRATION 1. Before you can bid in our auctions, you must register to bid. 2. Please note that you need to register with us at least 24 hours prior to the start of any Sale or you may not be able to bid online in that Sale. 3. To register with us to bid via Online Bidding, you must be a minimum of 18 years of age, be able to provide a verifiable residential or business address, 1 form of government-issued photo ID and a credit card issued in your name. 4. The name that you have registered with the online auction venue MUST match your government-issued photo ID. 5. When you submit a Request to Bid in our Sale via Online Bidding, we will contact you through a secured and encrypted email server to request your verifiable information. 6. Please follow the instructions for how to submit your verifiable information in a secure manner. 7. Once you have been granted entry to our Sale by your registration to bid, you should keep your account details strictly confidential and you must not permit any third party to use or access your account on your behalf or otherwise. 8. You will be liable for any and all bids made via your account. 9. As circumstances can change for individuals, you will need to register for each Sale in which you wish to bid. CAVEAT EMPTOR 1. The items in our auctions are not new and are either vintage or antique and many of the items are estate items. 2. We do our very best to describe each item as accurately as possible, but as these types of items have been in other collections and are, many times, more than 100 years old, you should expect that there will be inherent flaws in them. 3. It is also very difficult to describe each and every tiny little detail, so as such, there may be flaws that we may have missed. 4. If you have any questions at all, we invite you to ask so that you are completely satisfied before you submit your bid. 5. We try to upload as many pictures as possible for you to review. 6. It is your responsibility to look at the pictures very carefully so that you are fully and completely satisfied with the item before making your bid. 7. If you need further pictures of an item, we invite you to send us an email at least 48 hours prior to the start of the auction and we will be happy to try to comply with your requests. 8. Your bidding on any item in our Sale means that you have satisfied yourself completely with the item presented for sale and its description and that you have formulated for yourself a value for the item based on your own opinion and not the opinion of Sterling Traditions. 9. ALL SALES ARE ?AS IS, WHERE IS" WITH NO EXPRESS OR IMPLIED WARRANTIES WHATSOEVER. 10. NEITHER STERLING TRADITIONS NOR THE SELLER/CONSIGNOR PROVIDE ANY GUARANTEE OR WARRANTY AS TO THE NATURE, DESCRIPTION, GENUINENESS, PROVENANCE, IMPORTANCE, OR CONDITION OF THE LOT. 11. All sales are without any representation or warranty of any kind by Sterling Traditions nor the Seller/Consignor. 12. Bidders and Buyers are responsible for satisfying themselves concerning the condition of the Lots and the matters referred to in the catalogue entry, the Condition Report, or in any other statement or writing provided. 13. Prospective buyers are strongly advised to closely examine the photographs of any property in which they are interested before the auction takes place. Condition reports are usually available on request, on lots with a low estimate of $300 and above. 14. All lots are sold without recourse and neither Sterling Traditions nor the seller/consignor(s) make make any warranties or representations, express or implied, with respect to such lots, including respect to merchantability, fitness for purpose, correctness of the catalogue or other description of the physical condition, size, quality, rarity, importance, medium, material, genuineness, attribution, provenance, period, culture, source, origin, exhibitions, literature or historical significance of any lot sold. 15. The absence of any reference to the condition of a lot does not imply that the lot is in perfect condition or completely free from wear and tear, imperfections or the effects of aging. 16. The condition of the merchandise being offered varies and the Bidder and the Buyer understands and agrees: 1) that any description or sample of the merchandise given or furnished online is solely for identification, and does not create any warranty, express or implied, that the merchandise actually conforms to such description or sample; 2) that all merchandise is purchased and accepted by you AS IS, WHERE IS, IN PLACE and WITH ALL FAULTS KNOWN AND UNKNOWN. 17. No statement, whether written or oral, and whether made in the catalogue, or in supplements to the catalogue, an advertisement, a bill of sale, a salesroom posting or announcement, the remarks of an auctioneer, or otherwise, shall be deemed to create any warranty, representation or assumption of liability. 18. All statements made by Sterling Traditions as to condition, authorship, period, culture, source, origin, measurement, quality, rarity, provenance, importance, or historical relevance, whether in the catalogue entry for the lot, in the condition report, and/or in a bill of sale, or made orally or in writing elsewhere, are qualified statements of opinion only and are not to be relied on as statements of fact and that any such statements do not constitute a representation, warranty or assumption of liability by Sterling Traditions or the seller and/or consignor(s) of any kind. 1) References in the catalogue entry or the Condition Report to damage or restoration are for guidance only and should be evaluated by the Bidder or a knowledgeable representative. 2) The absence of such a reference does not imply that an item is free from defects or restoration, nor does a reference to particular defects imply the absence of any others. 19. Without limiting the foregoing, Sterling Traditions, nor any of Sterling Traditions's officers, employees or agents, are responsible for the correctness of any statement, of whatever kind, concerning any lot, whether written or oral, nor for any other errors or omissions in description or for any faults or defects in any Lot. 20. Any Estimates provided should not be relied on as a statement that this is the price at which the item will sell or its value for any other purpose. 1) Any written or oral appraisal, Estimate or other statement by Sterling Traditions or our representatives or agents with respect to the estimated or expected selling price of any Lot of Property is a statement of opinion only and shall not be relied upon by Bidders or prospective Bidders as a prediction or guarantee of the actual selling price. 21. Sterling Traditions shall not be liable for any errors or omissions in a catalogue or other descriptions of the Property. 22. Neither Sterling Traditions nor the seller and or consignor(s) is responsible in any way for any error and/or omission in the catalogue, or any supplemental material. 23. FURTHER ACKNOWLEDGMENT 1) As a Bidder and prospective Buyer, you further agree and acknowledge that: a. You are not relying on Sterling Traditions's skill or judgment in selecting to purchase any Lot; b. No oral or written statements in the Auction Catalogue, Condition Report, or elsewhere are the cause of or reason behind your purchase of any Lot; and you would have incurred such purchase regardless of any oral or written statements about condition, attribution, kind, quality, value, or authorship made in the catalogue or elsewhere; c. Sterling Traditions and/or the seller and/or consignor(s) did not and could not have known that condition, attribution, kind, quality, expressed value, or authorship is the cause or reason why you decide to purchase any Lot; 24. Sterling Traditions and the seller and/or consignor(s) make no warranty or representation, express or implied, that the purchaser will acquire any copyright or reproduction rights to any lot sold. 25. SPECIFIC ABSENCE OF A GUARANTEE FOR CHINESE AND OTHER ASIAN PAINTINGS 1) As with the major auction houses, the artists' names and dates recorded on our website or in our catalogs or present on items listed for Online Bidding are not to be taken as unqualified attributions to the artists named or the date the item was created. 2) The current scholarship in the field of Chinese paintings, specifically, and sometimes Japanese paintings, does not permit unqualified statements as to the authorship or date of execution. 3) Therefore, none of the Chinese or other Asian paintings on our website or in our catalogs or presented for Online Bidding is subject to any guarantee of authenticity and any Chinese and other Asian painting property is sold "AS IS" and reference to any Terms of Guarantee does not apply to the sale of this type of property. DURING THE AUCTION & BID CONDITIONS 1. Once you have successfully registered for Online Bidding in a Sale, you will be eligible to bid online at that Sale. 2. During a Sale, you can bid for a lot by clicking the Bid button. 3. Each bid shall be final and binding as soon as you click the Bid button. 4. The current bid will be displayed on your screen during the Sale. 5. In the event of a tie between a bid placed by you online and any other identical bid(s) (including bids made in person at the Sale, telephone bids, absentee bids, and other online bids), it will be at the auctioneer's discretion as to which bid shall be accepted. 6. You acknowledge that you are bidding in a live auction and you agree that each bid submitted as provided in these terms and conditions is irrevocable and cannot be amended or corrected, even if submitted in error and notified to us. 7. You accept full liability for all bids submitted via your Online Bidding account (including the liability to pay in full and on time in accordance with the Bid Conditions for any lot that is the subject of a successful bid submitted from your account). 8. Please note that Sterling Traditions reserves the right to reject a registration to bid online, withdraw its permission for you to use Online Bidding, or terminate an Online Bidding account, for any reason at any time prior to, during or after a Sale. PREMIUM LOTS 1. A Sale may have PREMIUM LOTS. If a Lot is considered to be a Premium Lot, it will be noted as such. 2. To bid in an auction with Premium Lots, a deposit may be required. 3. At Sterling Traditions' sole discretion, Sterling Traditions may require any Bidder to post a cash deposit in an amount set by Sterling Traditions at its sole discretion. 4. If the Bidder is successful in winning a Lot, the deposit will be applied toward the purchase price. 5. If the Bidder is unsuccessful in winning a Lot, the deposit will be returned to the unsuccessful Bidder within 5 business days. AFTER THE SALE 1. To find out if you have been successful in your bidding, you may check the results that are published online after the Sale. 2. You agree to pay in accordance with an On-Time Payment, as stipulated below, for any lot that is the subject of a successful bid submitted by you or from your Online Bidding account, in accordance with the Bid Conditions. INVOICES AND THE IMPORTANCE OF ON-TIME PAYMENTS Sterling Traditions cares for both our Buyers and our Sellers/Consignors. As such, it is important that Buyers understand the importance of paying On-Time, so that we may meet our obligations to our Sellers/Consignors. 1. Invoices will be issued post auction to all successful buyers. 2. Invoices for the sale of an item valued at $300 or more MUST be paid by Bank-to-Bank Wire Transfer within five (5) business days of your successful bid. 1) PLEASE NOTE: Bank-to-Bank wire payments sometimes take several days to appear in our account, so, at the very minimum, you MUST submit to us, within the five (5) business days time period, an email with a scanned copy of the order for your Bank Wire Payment, along with the contact name of your banking representative, their email address and the direct contact telephone number for your banker. 2) All bank wire transfer fees, including the receiving bank wire fees charged to Sterling Traditions for this convenience, are at the expense of, and are to be paid by the Buyer and those fees will be included in the invoice we send to you. 3. Invoices for smaller, successful bid amounts that tally under $300, must be paid through PayPal. 1) In order to pay us through the convenience of PayPal you MUST have a CONFIRMED PAYPAL ADDRESS in order to satisfy our shipping requirements. 2) If you do not have a Confirmed PayPal Address, then you will need to make sure that you have supplied one to PayPal BEFORE the auction. 3) Please wait to receive your PayPal Invoice before making your payment, which will include the shipping costs. 4) As PayPal invoices can be paid at any and all hours of the day or night, through all the days of the week, PayPal Invoices must be paid within 48 hours of issue by Sterling Traditions accounting department. 4. Other payment options may be available UPON PRE-APPROVAL, however, all such pre-approval MUST be requested and granted AT LEAST FIVE (5) BUSINESS DAYS BEFORE YOU PLAE A BID ON THE ITEM. 1) If a successful bid is made on an item without such pre-approval, then the invoice presented to the buyer for items valued at $300.00 or more MUST be paid by Bank-to-Bank Wire Transfer within five (5) business days of your successful bid, with proof of such payment sent. 2) You can supply proof of payment as stated above in this section and line 2.1). 5. Taxes and Customs Duties, if applicable, will be calculated and added to the purchase price. 6. ALL SALES ARE FINAL. ALL PROPERTIES ARE SOLD AS IS. NO RETURNS. NO EXCEPTIONS. NONPAYMENT & DISPUTES 1. Following the sale, if we do not receive payment in full, in good cleared funds, or, at the very minimum, with regard to bank-to-bank wire transfer payment, proof that your payment has been made by way of a scanned copy of your bank?s paper record and then emailed to us showing that your bank wire payment has been made, as stated above, within five (5) business days post auction for the purchase of items valued at $300.00 or more, or within 48 hours via PayPal payment for the purchase of items valued less than $300.00, then we are entitled, in our absolute discretion, to exercise one or more of the following measures, in addition to any additional actions available to us by law: 1) to cancel the sale; 2) to return the item(s) to the Seller/Consignor(s) according to any agreement we may have with them; 3) to resell the property publicly or privately with such terms as we find appropriate; 4) to impose a late charge of one and a half percent (1.5%) per thirty (30) days of the total purchase price; 5) to hold the defaulting buyer liable for the total amount due and to begin legal proceedings for its recovery together with interest, legal fees and costs to the fullest extent permitted under applicable law; 6) to resell the property at public auction without reserve, and with the purchaser liable for any deficiency, cost, including handling charges, the expenses of both sales, our commission on both sales at our regular rate, all other charges due hereunder and incidental damages. 7) In addition, a defaulting purchaser will be deemed to have granted us a security interest in, and we may retain as collateral security for such purchaser?s obligations to us, any property in our possession owned by such purchaser. 8) At our option, payment will not be deemed to have been made in full until we have collected funds represented by checks, or in the case of bank or cashier?s checks, we have confirmed their authenticity. 9) to offset against any amount owed; 10) to not allow any bids at any upcoming auction by or on behalf of the buyer; 11) to take any other action as we find necessary or appropriate. 2. In addition, for lack of payment in a timely manner (On-Time Payment) we will file a Dispute against your Bidder account for such non or slow payment and the sale may be canceled without any further recourse to you. PACKING & SHIPPING INFORMATION 1. Sterling Traditions handles and oversees all packing and shipping for all items. 2. All costs for packaging materials, packing, shipping, handling charges and, if applicable, Customs duties and taxes that may be required to be paid in advance, will be the the responsibility of and be born by the Buyer. 3. The packing and handling of purchased lots is at the entire risk of the purchaser and Sterling Traditions will have no liability for any loss or damage to such items. SHIPPING 1. Shipment of all items will ONLY be to the confirmed residential or business address that is found on your government-issued photo ID, your confirmed address registered with PayPal or to your confirmed address registered with the Online Auction venue. 2. We will NOT ship to third party addresses, drop boxes, P.O. Boxes, or unconfirmed addresses. 3. We have the following shipping options: 1) The shipping of small items will usually be done through the POSTAL SERVICE with a tracking number, insurance and a signature required. 2) However, you may opt for shipping of small items through OUR FEDEX BUSINESS ACCOUNT. 3) We do not generally ship through other personal or business FedEx accounts unless arrangements have been MADE IN ADVANCE of the sale. (Please see important information found below in the section entitled CUSTOMS DUTY & TAXES) CUSTOMS DUTY & TAXES 1. WE WILL NOT FALSIFY CUSTOMS DOCUMENTS. IT IS ILLEGAL TO SHIP MERCHANDISE WITH FALSIFIED CUSTOMS DOCUMENTS. DO NOT ASK US TO DO SO. 2. ALL CUSTOMS DUTIES AND TAXES ARE THE RESPONSIBILITY OF THE BUYER. 3. IT IS OUR RESPONSIBILITY TO DECLARE THE ACTUAL PURCHASE PRICE VALUE ON YOUR SHIPPING AND CUSTOMS DOCUMENTS. 4. WE WILL NOT MARK ITEMS AS "GIFTS" OR "DECLARE A LOW VALUE" THAT IS LESS THAN THE ACTUAL PURCHASE PRICE. IT IS ILLEGAL TO DO SO. 5. IMPORT DUTIES, TAXES AND OTHER POTENTIAL IMPORT CHARGES ARE NOT INCLUDED IN THE PRICE OF THE ITEM OR IN THE SHIPPING & HANDLING CHARGES AND CAN SOMETIMES BE SUBSTANTIAL. 6. PLEASE CHECK WITH YOUR COUNTRIES CUSTOMS OFFICE TO DETERMINE WHAT EXTRA CHARGES YOU MAY BE RESPONSIBLE FOR IN ORDER TO IMPORT YOUR ITEM TO YOUR HOME COUNTRY. 7. IN SOME CASES, WHEN SHIPPING IS TO PLACES LIKE CHINA, WE WILL INCLUDE, IN YOUR INVOICE TO BE PAID IN ADVANCE, THE CUSTOMS DUTIES AND TAXES REQUIRED FOR THE LEGAL AND PROPER IMPORTATION OF THE ITEM INTO YOUR COUNTRY. 8. IF YOU REFUSE TO PAY THE LEGAL IMPORT DUTIES AND TAXES THAT ARE DUE TO YOUR COUNTRY OF IMPORT AND/OR YOU CHOOSE TO ABANDON THE PROPERTY, OUR COMPANY WILL NOT BE RESPONSIBLE IN ANY WAY TO SEND YOU ANY REFUND WHATSOEVER. USE OF THE ONLINE BIDDING SERVICE & LIMITATIONS OF STERLING TRADITIONS' LIABILITY 1. Photographs of all Lots are available for inspection online prior to any Sale, and it is for you to satisfy yourself as to each and every aspect of a lot. 2. You are strongly advised to closely examine the photographs of any lot on which you may bid or have it examined on your behalf before any Sale. 3. If you choose to use the Online Bidding service, you do so entirely at your own risk. Access to and use of Online Bidding is dependent upon, among other things, the availability of the internet and the speed and quality of internet connections. 4. A currency conversion tool may be provided on the Online Bidding screen to enable estimates for lots and the final purchase price to be displayed in certain currencies. The currency conversion tool is provided for your convenience only and is an approximate guide to the equivalent amount in the specified currencies. You are therefore advised to conduct your own research into the applicable exchange rates prior to placing a bid. 5. Please note that the Sale is conducted, and all bids must be made, in US dollar currency. All bidding increments will be in that currency only. 6. Payment for any lot that is the subject of a successful bid must also be made in US dollars and not in any other currency (even if that currency is displayed on the currency conversion tool). 7. We do not accept any responsibility for any errors that may occur as a consequence of reliance upon the currency conversion tool. 8. The content displayed via the Online Bidding service may contain inaccuracies and typographical errors and we do not warrant the accuracy or completeness of the content or that any defects will be corrected. 1) Any reliance on any such content, advice, statement, or other information shall be at your sole risk. 2) We reserve the right, in our sole discretion, to correct any errors or omissions in any portion of the Online Bidding service and to make any changes to the features, functionality or content of the Online Bidding service at any time. 9. Access to the Online Bidding service is made available as a convenience and on a temporary basis, and we reserve the right to suspend or terminate any aspect or feature of the Online Bidding service (including the Online Bidding service in its entirety) at any time, with or without notice. Without limiting the foregoing, we may suspend access to Online Bidding to carry out scheduled or unscheduled maintenance or for any other reason at any time. 10. WE ACCEPT NO LIABILITY FOR ANY FAILURE OR DELAY IN EXECUTING BIDS OR ANY ERRORS CONTAINED IN BIDS PLACED VIA THE ONLINE BIDDING SERVICE. 11. STERLING TRADITIONS AND ITS SUPPLIERS PROVIDE THE ONLINE BIDDING SERVICE AND THE STERLING TRADITIONS WEB SITE "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. 12. WITHOUT LIMITING THE FOREGOING, WE ACCEPT NO LIABILITY FOR ANY FAILURES, DELAYS OR ERRORS CAUSED BY INTERRUPTIONS IN THE AVAILABILITY OF THE ONLINE BIDDING SERVICE OR OUR WEB SITE OR ANY ERRORS OR DEFECTS IN THEIR CONTENT OR FUNCTIONALITY, ANY SOFTWARE AND/OR HARDWARE DEFECTS (WHETHER YOURS OR OURS) AND/OR ANY INTERNET CONNECTION PROBLEMS (WHETHER YOURS OR OURS), AND WE DO NOT REPRESENT OR WARRANT THAT THE ONLINE BIDDING SERVICE OR THE WEB SITE WILL BE ERROR-FREE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. COPYRIGHT 1. The copyright in all images, illustrations and written material produced by or for Sterling Traditions relating to a lot including the contents of a catalogue, is and shall remain at all times the property of Sterling Traditions and shall not be used by the buyer, nor by anyone else, without our prior written consent. 2. Sterling Traditions expressly reserves the right to reproduce any image of the lots sold. CHANGES TO THESE TERMS AND CONDITIONS 1. We may from time to time make changes to these terms and conditions. 2. Changes will be posted on our website and/or on the online auction venue and we will endeavour to notify you of the same by means of a notice and a link to the revised terms on our web site and/or on the online auction venue. 3. Please review these terms and conditions regularly to ensure you are aware of any changes made by us. 4. If you use Online Bidding after changes have been made and posted, you shall be deemed to have agreed to such changes. 5. If you do not agree to such changes, you should not make any subsequent use of the Online Bidding service. Such information will be processed and kept by us in confidence. Some of Bidders' personal data may also need to be shared with third party service providers (e.g., shipping or storage companies) for Bidders' benefit. By participating in an Auction, you agree to all previously stated disclosure. LAW AND JURISDICTION The rights and obligations of the parties with respect to these Terms and Conditions, the conduct of the Auction and any matters connected with any of the foregoing shall be governed and interpreted under the laws of the United States and the State of Delaware. By bidding at the Auction and/or through execution of the attached registration form, the Bidder consents to the exclusive jurisdiction of the courts of the State of Delaware and the Federal courts of the United States of America located in Delaware.
