An exceptionally important group of original Carrozzeria Scaglietti S.p.A. corporate papers, centred upon the Board of Directors meeting of 29 March 1975 — the first board meeting following Ferrari’s acquisition of a majority interest in the celebrated Modenese coachbuilder.
The documents record a decisive moment in the history of Scaglietti, when the long-standing relationship between Ferrari and Sergio Scaglietti’s company moved from close industrial partnership to direct corporate control. The March 1975 meeting is particularly significant in recording Ing. Enzo Ferrari as a director of Carrozzeria Scaglietti, alongside Sergio Scaglietti, President Francesco Bellicardi and Ferrari executive Giuseppe Dondo, providing a rare contemporary record of the company immediately after Ferrari assumed majority ownership.
The archive comprises the official minutes of the Board of Directors meeting of 29 March 1975, together with papers relating to the Annual Shareholders’ Meeting of 30 April 1975, the Directors’ Report, the report of the Collegio Sindacale (Board of Auditors), and the complete financial statements for the year ending 31 December 1974 and the same for 1973.
The accompanying Directors’ Report offers a detailed account of Scaglietti’s position at this critical juncture. It discusses the difficult economic conditions affecting the Italian motor industry during 1974, increasing production and financing costs, investment in the factory and the development of new body programmes, including the Ferrari projects F.106/AL Europa and F.106/AB. The financial statements record assets exceeding 4.3 billion lire and a loss for the year of approximately 21.7 million lire, providing an unusually detailed financial portrait of the company at the point of Ferrari’s takeover.
Also included is an original signed letter from Claudio Scaglietti, forwarding share certificates representing 45,000 shares for deposit in connection with the company’s Annual General Meeting. The letter provides a tangible record of the Scaglietti family’s continuing shareholding during the period immediately following Ferrari’s acquisition of majority control.
Taken together, the papers document one of the most consequential transitions in Scaglietti’s history. For more than two decades the coachbuilder had operated as an independent company while producing the bodies of many of Ferrari’s most celebrated road and competition cars; by 1975 that relationship had entered a fundamentally different phase, with Ferrari assuming majority ownership and Enzo Ferrari himself taking a formal role in the governance of the company. An important primary document in the corporate history of both Carrozzeria Scaglietti and Ferrari.
