TERMS & CONDITIONS OF SALE

I. PRELIMINARY
1. Agreement to Terms
By registering to bid in any auction conducted by Eastern European Art Gallery Inc. ("we," "us," "our," or the "Gallery"), whether online, absentee, telephone, by agent, or in person where applicable, you ("Buyer," "Bidder," or "you") acknowledge that you have read, understood, and agreed to be bound by these Terms & Conditions of Sale. Registration approval, issuance of a bidder number, or placement of any bid constitutes acceptance of these Terms.
2. Conditions of Sale & Precedence
All property is offered for sale subject to these Terms & Conditions. Announcements made before or during the auction, whether written or oral, shall take precedence over previously published material and shall form part of these Terms. The auctioneer reserves the right to reject any bid, refuse registration, or rescind bidding privileges at its discretion.
Purchases processed through LiveAuctioneers are additionally subject to LiveAuctioneers' own registration, payment, and dispute policies. In the event of a conflict between those platform policies and these Terms, these Terms shall govern the relationship between Buyer and the Gallery to the fullest extent permitted.
3. Buyer's Premium, Taxes & Fees
A buyer's premium is added to the hammer price of every lot and forms part of the total purchase price:

? Purchases through LiveAuctioneers: up to 28%
The buyer's premium may fluctuate by auction date. It is Buyer's responsibility to review the specific auction details for the applicable rate before bidding.
In addition to the hammer price and buyer's premium, Buyer is responsible for all applicable sales, use, and excise taxes; shipping, handling, packing, and insurance charges; and any storage fees, chargeback administration fees, collection costs, or other charges that become due under these Terms.
II. BIDDER ELIGIBILITY & REGISTRATION
4. Age & Legal Capacity
By registering to bid, you confirm that you are at least 18 years old and legally able to enter into a binding contract in your jurisdiction.
5. Bidder Registration & Verification
We reserve the right to request identification, proof of address, proof of funds, or other verification before approving a bidder's registration or releasing a purchased item, and to deny, suspend, or revoke bidding privileges at our discretion, without obligation to provide a reason.
Bidders may not register or bid on behalf of another party without disclosing that relationship to us in writing in advance. A bidder who bids as agent for an undisclosed principal remains personally liable for payment.
6. Suspected Shill Bidding & Bidder Collusion
We reserve the right to void any bid and suspend or ban any bidder suspected of bid manipulation, collusion with other bidders, or any other conduct intended to improperly influence the outcome of a sale.
III. THE PROPERTY
7. Catalogue Descriptions & "As-Is" Sale
Photographs are professionally taken under studio lighting for presentation purposes. Items may appear larger or smaller than actual size depending on image magnification, screen settings, and display format. Measurements and written descriptions should be relied upon for size reference. Metal tones, gemstone colors, and other hues may vary slightly in person due to lighting conditions, photography, and monitor or mobile device settings.
All items are sold "AS IS, WHERE IS." All titles, descriptions, condition comments, measurements, gemstone weights, metal purity, estimates, reserve prices, and starting bids reflect our opinion only, to the best of our knowledge, and are not guaranteed.
Buyers are responsible for reviewing all photographs and descriptions carefully and forming their own judgment before bidding. Images are considered part of the description and should be used, alongside the written description, to assess the item and its condition. Any condition statements reflect our own assessment only and are not a guarantee. Normal wear consistent with age and use may be present; the absence of a condition note does not imply perfect condition. All catalogue information may be revised at any time before auction start.
8. Gemological Estimates
Any gemstone weight, clarity, color, cut, treatment, origin, or similar characteristic referenced in a lot description is an estimate only, unless the lot is accompanied by a certified laboratory report (e.g., GIA, AGS). Buyers are responsible for independently verifying any such characteristic prior to bidding. Where a laboratory report accompanies a lot, that report reflects the opinion of the issuing laboratory and not a warranty by the Gallery.
9. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, ALL LOTS ARE SOLD "AS IS, WHERE IS," WITH ALL FAULTS, AND WITHOUT ANY REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE GALLERY EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, DESCRIPTION, QUALITY, CONDITION, AUTHENTICITY, ATTRIBUTION, PROVENANCE, RARITY, IMPORTANCE, PERIOD, CULTURE, SOURCE, ORIGIN, MEDIUM, OR VALUE.
NO STATEMENT MADE BY THE GALLERY OR ANY OF ITS EMPLOYEES, AGENTS, OR REPRESENTATIVES ? WHETHER ORAL OR WRITTEN, AND WHETHER APPEARING IN A CATALOGUE, LOT DESCRIPTION, CONDITION REPORT, ADVERTISEMENT, INVOICE, OR ELSEWHERE ? SHALL BE DEEMED A WARRANTY, REPRESENTATION, OR ASSUMPTION OF LIABILITY. ALL SUCH STATEMENTS ARE STATEMENTS OF OPINION ONLY.
The sole exception to this disclaimer is the limited claims procedure set out in Section 24 and the authenticity claim procedure set out in Section 25, which together constitute Buyer's exclusive remedies.
IV. BIDDING & THE AUCTION
10. Bidder Responsibility
Bidders are solely responsible for reviewing all lot descriptions, photographs, measurements, shipping details, and terms prior to bidding. Eastern European Art Gallery Inc. is not responsible for bidder mistakes, including but not limited to: bidding on the wrong lot, entering an unintended bid amount, misunderstanding descriptions, failing to monitor the live sale, or technical inability to place bids.
11. Bid Increments
Bid increments may vary from auction to auction. It is the bidder's responsibility to review the current bid amount and increment before placing a bid.
12. Bid Retraction & Cancellation
Once placed, a bid cannot be retracted or withdrawn. We reserve the right to cancel or void any bid that was placed in error, submitted by a suspended or unregistered bidder, or that we reasonably believe to be fraudulent or made in bad faith.
13. Reserve Price Mechanics
Some lots have no reserve ? a single qualifying bid will win the lot. Other lots carry a confidential reserve price, meaning bids must reach that amount before the lot can be sold. When bidding on a reserve lot, if a message appears stating the reserve has not been met, you will need to bid higher to reach the reserve in order to purchase the lot. If your bid is accepted without this message, the reserve has been met.
14. Technical Issues
We are not responsible for platform interruptions, internet outages, software malfunctions, delayed bids, missed bids, connection issues, or errors caused by third-party bidding platforms including LiveAuctioneers.
15. Winning Bid
The highest acknowledged bid accepted by the auctioneer shall be the purchaser. In the event of any dispute, the auctioneer shall have sole discretion to determine the successful bidder, reopen bidding, continue bidding, or cancel the sale. The auctioneer's decision shall be final.
16. Right to Withdraw or Refuse Sale
The auctioneer reserves the right to withdraw any lot before or during sale, to cancel any transaction, or to refuse completion of a sale ? including after a lot has been won ? due to circumstances including but not limited to: loss or theft, damage, clerical error, catalogue error, authenticity concern, legal restriction, payment concern, suspected fraud, or any other unforeseen issue.
Where we exercise this right, our entire liability to Buyer is limited to a refund of any amounts actually paid by Buyer in respect of that lot. We shall have no further liability of any kind.
V. PAYMENT
17. Payment, Taxes & Non-Payment
All prices are listed in U.S. Dollars (USD). Payment is due within three (3) business days of invoice.
We accept payment via credit card through LiveAuctioneers, or by wire transfer directly to us. Applicable sales tax shall be collected where required by law; purchases processed through LiveAuctioneers may have taxes calculated and collected by the platform.
If payment is not received within three (3) business days of invoice, the card on file will be automatically charged in accordance with Section 18.
If payment is still not received within five (5) business days of invoice, we reserve the right to:
? (a) cancel the sale and retain any deposit as liquidated damages;
? (b) resell the item at public or private sale and hold Buyer liable for any shortfall plus resale costs;
? (c) charge interest on the outstanding balance at the lesser of 1.5% per month or the maximum rate permitted by Pennsylvania law;
? (d) refer the outstanding balance to a collection agency and report the matter to relevant credit agencies where applicable; and/or
? (e) suspend or revoke Buyer's bidding privileges for future sales.
Declined or reversed payments will be treated as non-payment under this section.
Wire transfer at our election. For any winning lot, we reserve the right to require that payment be made solely via wire transfer, at our sole discretion and without obligation to provide a reason. Where we make such an election, we will notify Buyer in writing prior to or with the invoice, the card-on-file authorization in Section 18 will not be exercised for that lot, alternative payment methods will not be accepted, and payment must be completed within the timeframe stated on the invoice.
18. Card on File Authorization
By registering to bid and providing payment card details, Buyer authorizes Eastern European Art Gallery Inc. to store that card as a credential on file and to charge it, without further notice or authorization, for: the hammer price; the buyer's premium; applicable sales tax; shipping, handling, and insurance charges; and any storage fees, chargeback administration fees, interest, or other amounts that become due under these Terms.
Buyer acknowledges and agrees that if payment is not received within three (3) business days of invoice, the card on file will be charged automatically for the full invoice amount.
Buyer represents and warrants that they are the authorized holder of the card provided, that the card is valid, and that sufficient funds or credit are available. Buyer is responsible for keeping card details current; providing an expired, invalid, or insufficiently funded card does not excuse or delay payment obligations.
This authorization remains in effect for the duration of Buyer's registration and until all amounts owed have been paid in full. Buyer may withdraw this authorization by written notice to info@latelierluxurysalon.com, in which case we may suspend bidding privileges and require that all payment be made by wire transfer in advance.
19. Chargebacks & Payment Disputes
By placing a bid and completing a purchase, Buyer agrees not to dispute or reverse any charge with their card issuer or payment provider for a legitimately won and accurately described lot. All sales are final, and Buyer agrees to resolve any concerns directly with us in accordance with Section 24 (Final Sale; Limited Claims Procedure) before contacting their bank or card provider.
If a Buyer initiates a chargeback or payment dispute that is later found to be invalid, unauthorized, or in breach of these Terms, we reserve the right to charge a chargeback administration fee, up to the maximum amount permitted by applicable law, to cover processing and administrative costs, in addition to recovering the original purchase amount.
Any bidder who initiates a chargeback or payment dispute will have their bidding privileges immediately suspended pending resolution. If the dispute is resolved in our favor, we reserve the right to permanently revoke that bidder's registration and refuse future registration attempts.
If a chargeback or payment dispute results in funds being reversed for an item already shipped or released to Buyer, we reserve the right to pursue collection of the full amount owed, including applicable fees and legal costs, and to report the matter as unpaid to relevant collection or credit agencies where applicable.
By bidding, you agree that in the event of a payment dispute we may submit evidence of your bid activity, account information, registration consent records, invoice, communications, delivery confirmation, and these Terms & Conditions to your card issuer or payment provider to contest the dispute.
Chargebacks are not a valid method for cancelling a sale, expressing dissatisfaction with an accurately described item, or resolving buyer's remorse. Any such dispute will be contested using the evidence described above.
VI. DELIVERY, SHIPPING & COLLECTION
20. Shipping & Collection
Shipping may be arranged through LiveAuctioneers partnered providers or through our in-house shipping service where available. Shipping charges may include packing, handling, insurance, carrier charges, and signature confirmation where required. Delivery times are estimates only and are not guaranteed.
Where we arrange shipping on Buyer's behalf, we do so as Buyer's agent and not as principal. Selection of carrier, service level, and insurance is made for Buyer's account.
Once an item has been handed off to the carrier, tracking, monitoring delivery status, and contacting the carrier for updates become Buyer's responsibility. We are always happy to assist where we can, but Eastern European Art Gallery Inc. is not liable for items lost, delayed, damaged, or seized in transit once handed to the carrier. Should any damage or loss occur during shipping, it is Buyer's responsibility to file the relevant claim with the carrier and/or insurance provider, though we are glad to help guide you through that process and to provide reasonable documentation in support of such a claim.
Gallery collection. Buyers wishing to collect purchases in person must contact us in advance to arrange an appointment and must present government-issued photo identification matching the registered bidder account.
21. Title & Risk of Loss
Risk of loss for each lot passes to Buyer upon the earlier of:
? (a) delivery of the lot to the carrier; or
? (b) collection of the lot by Buyer or Buyer's authorized agent at the gallery.
Title to each lot passes to Buyer only upon receipt by us of payment in full, including hammer price, buyer's premium, applicable taxes, and all shipping and handling charges. Where payment has not been received in full, title remains with Eastern European Art Gallery Inc., but risk of loss passes as stated above. We retain a security interest in each lot, and in the proceeds of any resale of it, until payment is received in full.
22. Unpaid Shipping, Storage & Forfeiture
If shipping costs are not paid, we will hold the item for seven (7) business days at no charge. After this period, we reserve the right to charge a storage fee of $35 per day for up to an additional ten (10) business days, to a maximum of $350 USD.
If shipping payment is still not received after this additional period, Buyer forfeits the purchase, all payments made are non-refundable, and we reserve the right to proceed with reselling the item at public or private sale, retaining all proceeds.
23. International Buyers
International buyers are responsible for all customs duties, import taxes, brokerage fees, and compliance with import/export regulations in their country, including restrictions on gemstones (e.g., CITES-protected materials), ivory, coral, or precious metals. We are not responsible for items held, delayed, seized, or destroyed by customs authorities, and no refund will be issued in such circumstances.
Where any return is authorized by us under Section 24 or Section 25 in respect of an international order, Buyer is responsible for return shipping costs, customs fees, storage fees, reimport taxes, and any other applicable charges, as Buyer bears full responsibility for the shipment.
VII. POST-SALE
24. Final Sale; Limited Claims Procedure
All sales are final. We do not accept returns, exchanges, or cancellations for any reason, including change of mind, buyer's remorse, disappointment with appearance, size, or perceived value, delay in shipping, or failure to review the lot description and photographs prior to bidding.
The sole and exclusive remedy available to Buyer is set out in this Section 24 and in Section 25.
Claims procedure. If Buyer believes a lot is materially not as described, Buyer must notify us in writing at info@latelierluxurysalon.com within three (3) days of confirmed delivery, and must include the lot number, invoice number, a written explanation of the claimed discrepancy, and clear photographs evidencing it. Claims submitted after this period, or without the required documentation, are waived in full.
Definition. "Materially not as described" means a discrepancy that a reasonable buyer would consider significant to the value of the lot. It does not include:
? normal wear consistent with age and use;
? variation in metal tone, gemstone color, or hue as addressed in Section 7;
? variation between an estimated and actual gemstone weight, clarity, color, cut, treatment, or origin where no certified laboratory report accompanied the lot;
? differences in apparent size from photographs where the stated measurements are accurate;
? disagreement with our stated opinion, estimate, reserve, valuation, or attribution; or
? a lot's failure to appreciate in value or to resell at a particular price.
Remedy. If we determine, in our sole and reasonable discretion, that a claim is valid, our entire liability and Buyer's exclusive remedy is limited, at our election, to either (a) rescission of the sale and refund of the hammer price and buyer's premium actually paid, upon return of the lot; or (b) a partial credit or refund. Shipping, handling, and insurance charges are non-refundable in all cases.
Returns. No return will be accepted without a written Return Authorization issued by us in advance. Unauthorized returns will be refused and returned to sender at Buyer's expense. Returned property must be received in the same condition in which it was sent, complete with all original packaging, certificates, tags, and accompanying documentation, and must be shipped fully insured for the full purchase price at Buyer's expense unless we direct otherwise. Property that has been worn, altered, resized, repaired, cleaned, appraised in a manner requiring removal of stones, or otherwise modified is not eligible for return under any circumstances.
In no event shall our liability under this section exceed the total amount actually paid by Buyer for the lot in question. This section survives delivery and applies notwithstanding any other provision of these Terms.
VIII. GENERAL LEGAL PROVISIONS
26. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, EASTERN EUROPEAN ART GALLERY INC. SHALL NOT BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR INDIRECT DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOSS OF USE, LOSS OF OPPORTUNITY, LOSS OF EXPECTED APPRECIATION, OR DIMINUTION IN VALUE, ARISING OUT OF OR RELATING TO ANY LOT, BID, SALE, OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO ANY LOT SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY BUYER TO US FOR THAT LOT.
This limitation applies to the Gallery and to its officers, directors, employees, agents, consignors, and representatives.
27. Indemnification
By bidding, you agree to indemnify, defend, and hold harmless Eastern European Art Gallery Inc. and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of any purchased item, or your violation of any applicable law or the rights of any third party.
28. Force Majeure
We are not liable for delays or failure to perform due to events beyond our reasonable control, including natural disasters, fire, flood, pandemics, epidemics, war, terrorism, civil unrest, government action, labor disputes, power or telecommunications failure, cyberattack, or shipping and customs disruptions.
29. Governing Law, Venue & Dispute Resolution
These Terms, and any dispute, claim, or controversy arising out of or relating to them, to any bid, or to any sale (whether sounding in contract, tort, statute, or otherwise), shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Buyer irrevocably consents to the exclusive jurisdiction and venue of the state and federal courts located in Delaware County, Pennsylvania, and waives any objection based on improper venue, inconvenient forum, or lack of personal jurisdiction.
Jury trial waiver. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR ANY SALE.
Class action waiver. Buyer agrees that any claim will be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
30. Privacy
Personal information collected during registration or bidding (name, contact details, payment information, identification documents) is used solely to process your registration, bids, purchases, and shipments, to comply with applicable law, and to contest payment disputes, and is handled in accordance with our Privacy Policy. We do not sell buyer data to third parties.
31. No Waiver
Our failure to enforce any provision of these Terms at any time does not waive our right to enforce that or any other provision at a later time. No waiver is effective unless made in writing and signed by an authorized representative of the Gallery.
32. Amendment Rights
We reserve the right to update or modify these Terms & Conditions at any time. The version of these Terms in effect at the time a bid is placed shall govern that transaction.
33. Assignment
Buyer may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms in whole or in part without notice.
34. Severability
If any provision of these Terms is found unenforceable by a court of competent jurisdiction, that provision will be limited or removed to the minimum extent necessary, and the remaining Terms will stay in full force and effect.
35. Entire Agreement
These Terms, together with any auction-specific announcements and the invoice for a given lot, constitute the entire agreement between Buyer and the Gallery with respect to the subject matter hereof, and supersede all prior or contemporaneous representations, understandings, and agreements, whether oral or written. No employee, agent, or representative of the Gallery has authority to vary these Terms except in a writing signed by an authorized officer.

Autopay
If you have not contacted Eastern European Art Gallery Inc to arrange payment within 3 days of the time that invoice is sent, we will charge the credit card you used to register for the auction for the amount of your invoice.
