This auction takes place publicly. Participation means acceptance in full of the following conditions as well as any rights and obligations
arising therefrom. These same conditions also apply to all transactions in auction lots taking place outside the sale. Antiquorum S.A.,
organiser of the auction, acts as an agent only and is not liable for any default(s) of purchaser(s) and/or vendor(s).
1. The auction lots are offered
1.1 As presented in the auction catalogue: The lots are meticulously described and with the greatest care, however without responsibility
for Antiquorum S.A. No guarantee is given by Antiquorum S.A. other than the one described under No 4, 4.a, 4.b and 4.c. Photographs
count as part of the description with regard to visible attributes. Material contained in the catalogue, advertisements or other publications
of Antiquorum S.A. is presented on an indicative basis only.
1.2 As viewed: Before and during the auction sale, all lots may be examined at the times scheduled in the auction catalogue. Persons
attending the auction and/or who have viewed any lots before the auction and/or bidder's representatives and auction agents are
understood to have examined all lots which they purchase and to accept them as they are at the moment of the knocking-down and
not necessarily as described. Those persons interested must examine the lots personally to confirm their actual condition and to determine
if any object has been repaired or restored.
1.3 (*) Lots marked with an asterisk, at the vendor's request, are sold in the condition in which they were consigned.
1.4 The sale takes place in Swiss francs and without any guarantee whatsoever except as stated in these Conditions of Sale. Neither Antiquorum
S.A. acting as agent only nor the vendor accept any responsibility whatsoever for any defect or deterioration of any lot nor for any precisions
or indications given concerning the author, maker, origin, period, age, attribution, authenticity, provenance, weight or condition of
any object. Furthermore no employee of Antiquorum S.A. has authority to give any kind of guarantee whatsoever.
2. Auction bids
2.1 The Huissier Judiciaire together with Antiquorum S.A. have full discretion to refuse any bidding, to divide any lot or lots, to combine any
two or more lots and to withdraw any lot or lots from the sale without in any case giving any reason. The auction will be conducted in French
but the bidding may be translated also into English. Antiquorum S.A. may also bid on behalf of vendors in cases where reserve prices have
been fixed. In these cases, the vendor is treated as a buyer and the auctioneer shall bid on his behalf up to the reserve prices. If the reserve
price fixed by the vendor is not reached the auctioneer passes to the next lot by a simple knock of the gavel. The starting price is fixed by
the Huissier Judiciaire or auctioneer at their discretion. The increase in bid steps is fixed between 5% and 10%. However the Huissier
Judiciaire or auctioneer can modify this rate at his own discretion.
2.2 Clients giving bidding instructions to Antiquorum S.A. may make alternative offers and/or limit the total of their expenditure in advance.
Bids marked "BUY"Â are considered up to ten Times the printed estimate price. Bids must be expressed in Swiss Francs. Bids made in other
currencies will be converted into Swiss francs at the market rate of the day of auction by Antiquorum S.A. Bids stand and hold good for at
least 60 days from the auction period. Antiquorum S.A. reserves the right to invoice bidders up to the end of the 60 day period, payment
being due immediately.
The Huissier Judiciaire assures the expeditious execution of bidding orders he has received. Alterations in biddings orders are only accepted
in writing.
2.3 Those persons who wish to bid at the auction must make themselves known before the sale to Antiquorum S.A. They will be given an
identifiable bidding number. Those persons who wish to bid over the phone or by Internet must make themselves known at least two working
days prior to the day of the auction. Those persons who are not known to Antiquorum S.A. may be asked to provide financial security for
their bids at least two working days before the sale. The Huissier Judiciaire or auctioneer has the right to refuse to adjudicate any lot to an
unidentified person or to someone who he knows to be a bad debtor, this in the interests of the vendor.
3. The auction
3.1 The auction will be held under the aegis of a "Huissier Judiciaire"Â of the Canton and Republic of Geneva.
3.2 Prerogatives of Antiquorum S.A.: Antiquorum S.A. may withdraw, group differently, divide or refuse to knock down any lot of this sale.
Antiquorum S.A. reserves the right to refuse any bid orders and/or to refuse admittance to the auction room, at its sole discretion. Antiquorum
S.A. cannot be held responsible for any physical accident that may occur on the premises of the auction.
3.3 Bidder's representatives and auction agents: Any person bidding for the account of a third party is fully liable for any obligation assumed
by such person arising from this auction. This responsibility is notably applicable to the verification of the condition and to the payment of
lots purchased.
3.4 Adjudication: Each lot is sold on behalf of the respective owner to the highest bidder. In addition to the hammer price, the buyer's
premium is payable as follows: 22.5 % on the first SFr. 100,000 of the hammer price, 19.5% from SFr. 100'001 to SFr. 250'000 and 16.5% on
the hammer price amount in excess of SFr. 250,000.' On the fall of the gavel, liability for the knocked-down lot (or lots) passes to the
bidder whose bid has been accepted. The lots are delivered to the buyer when the hammer price and the buyer's premium are paid in
full.
3.5 VAT (value added tax) of 7,6% is due on all purchases. Wholesalers, on presentation of their card, may be exempted from
payment of this tax.
Buyers domiciled abroad are refunded this 7,6% only on receipt by Antiquorum S.A. of an export declaration duly stamped by Swiss
Customs.
3.6 Payment: in the case of buyers attending in person, sale price plus commission are due for immediate payment in Swiss francs against
delivery of the lots. Payment in foreign currencies is accepted at the rates of exchange of the day as quoted by one of the principal Swiss
banks. Mail bidders who are successful and buyers attending the auction in person with whom it has been expressly agreed that they may
pay after the sale, are due to pay the sale price and the commission on receipt of the auction invoice. In these cases, Antiquorum S.A. keeps
the adjudicated lots, which are delivered to the buyers on full settlement of their account.
Delivery of the purchased lots by post or any other means if instructed by the buyer, including cost of normal transit insurance cover, is at the
expense of the buyer.
3.7 Special credit facility: Antiquorum S.A. reserves the right to offer a special credit facility for buyers. Such a credit facility, which is
granted at the exclusive discretion of Antiquorum S.A. and which must be agreed between Antiquorum S.A. and the prospective buyer
at least two business days before the date of the sale, will contain provisions for the payment by the Buyer of a minimum 25% of the
total invoice at the time of the sale, the balance being payable in equal monthly instalments up to a maximum of 6 months, each instalment
being payable at the end of the relevant monthly period. A monthly interest charge of 1.5% plus any actual additional costs incurred
are debited to the buyer's account at the end of each month, calculated prorata temporis on the outstanding balance of the account.
When the special credit facility has been granted, the buyer understands that any claims regarding his purchases must be made within
30 days of the auction sale date, even though the lots may be held by Antiquorum S.A. awaiting full settlement of the account.
Until delivery, all lots may be examined by their respective buyers at the offices of Antiquorum S.A. Furthermore, the buyer loses all
right to counterclaim or action under Clause 4 below 30 days after the date of the sale.
3.8 Late payment: In the case of late payment of more than 30 days, the buyer forfeits all his rights and Antiquorum S.A. may accordingly
take all appropriate steps to protect its interests and/or those of the Vendor, including claiming damages and interest. Antiquorum S.A. may
also renounce on the execution of the sale, claim damages and interest and also, to protect its interests, consider itself no longer bound by
the conditions of the contract. In every case Antiquorum S.A. will charge interest of 1.5% per month on all amounts unpaid, all damages
being in addition and due by the late payer.
The buyer who has delayed payment beyond 30 days accepts that Antiquorum S.A. may place the unpaid lots for auction or private sale.
The buyer must also pay to Antiquorum S.A. the difference between the price he was originally due to pay and that obtained when the
lot(s) is (are) resold. All damages and interest of 1.5% per month in addition are included until final settlement. In the case of delayed
payment or of the buyer obtaining special credit facilities, Antiquorum S.A. is not responsible for the purchased lots, expressly any
disappearances, changes or damage caused or incurred.
3.9 Pledge: Until full settlement of the account, the buyer grants to Antiquorum S.A. a pledge on any and all properties held by Antiquorum
S.A., acquired prior to, during and/or after this auction. This pledge secures the repayment of any amount due in principal, interest, commissions,
costs and all other fees. Antiquorum S.A. is entitled, but not obliged, to realize freely the pledged assets without further formalities
and without previous notice if the buyer is in default in the payment of his debt or in the fulfilment of any other
obligation hereunder. In any event, Antiquorum S.A. will be entitled to realise its pledge on a private treaty basis. For this purpose, Antiquorum
S.A. is not bound to comply with the formalities of the Federal Law dealing with actions for debt and bankruptcy proceedings; in addition,
Antiquorum S.A. may choose to institute or proceed with the usual proceedings without having beforehand sold the pledged goods and
without having moreover given up its rights to them.
4. Guarantee
Antiquorum S.A. guarantees for a period of 5 years against intentional fakes which have not been mentioned as such in the catalogue
description. Intentional fakes means imitations made specially to deceive in respect to the author or maker of the object, the period or the
material used. The buyer must give notice to Antiquorum S.A. of the existence of such imitation by registered letter within 7 days following
the discovery of same or risk losing all rights to the cancellation of the sale.
The buyer must return the object in question to Antiquorum S.A. immediately in the same state in which it was purchased and allow that an
impartial expertise be made. If it is found to be a fake, Antiquorum S.A. will cancel the sale and refund to the buyer the amounts he has
paid, excluding any amounts in respect of any other claim.
The buyer has no right to cancellation of the sale if any one of the following conditions exists:
a) The catalogue description of the time corresponded to the generally held opinion of specialists or experts in the relevant field but does
not engage the responsability of Antiquorum S.A.
b) The catalogue description indicated a divergence of opinion concerning the object.
c) The faking has been discovered by means of a scientific process which was not currently used at the time of the catalogue being edited
or that the examination procedure was too costly or could have caused damage to the object.
This present guarantee is only given to the actual buyer who may only have the right to claim it if he has retained full ownership of the object.
5. Applicable law and jurisdiction
This auction as well as any rights and obligations arising there from shall be governed exclusively by Swiss law. Any legal action or proceeding
with respect to this auction shall be submitted to the exclusive jurisdiction of the Courts of Geneva, subject to appeal to the
Swiss Federal Court in Lausanne. In every case, Antiquorum S.A. shall also be entitled, at its discretion, to sue any buyer in default at
his place of residence or in any other jurisdiction which Antiquorum S.A. at its sole discretion may consider appropriate; in such case,
Swiss law shall remain applicable.
