Test Sale - Do Not Bid

You authorize BFA AUCTION to sell the items listed on the front of this agreement under the terms and conditions stated herein: COMMISSION. You agree to pay Seller’s commission as follows: Lots selling for more than $20,000~6%; $10,000 to $19,000~7.5%; $3,000 to $9,999~10%; under $2999~20%. Dealers will pay a 5% commission on all sales regardless of the estimate. INSURANCE / EXPENSES. You agree to pay an insurance fee of $50 per lot. In the event that you withdraw any item prior to the auction date, you agree to pay a fee of 35% of the low estimate. In the event of non-payment, interest will be charged at 1.5% per month or as permitted by law. You agree to pay BFA AUCTION any collection costs of attorney’s fees involved. You agree to pay all costs and expense of packing and shipping your property to BFA AUCTION premises and the return of you premises, if the property is unsold. Warrantees / Representation. You certify to BFA AUCTION that you are the lawful Owner or Agent for the above property and that there are liens or any other encumbrances against the property. In the case of question of authenticity, condition, or ownership, BFA AUCTION reserves the right to withdraw an item prior to or during a sale. You certify that you have provided BFA AUCTION with any information you may have concerning the provenance of the property; and that there are no restrictions on BFA AUCTION right to reproduce photographs of it. BFA AUCTION will not be held liable for any errors or omissions in the catalogue or any other descriptions of the property. BFA AUCTION will retain the exclusive copyright to all illustrations and catalog descriptions of the property created by BFA AUCTION. BFA AUCTION reserves the right to offer your property for sale through live internet bidding in conjunction with the auction. SETTLEMENT. Payment will be mailed to you on the 30th day after the sale date. In the event of non-payment by the Buyer, BFA AUCTION may cancel the sale and return the property to you, enforce payment from the Buyer or take other actions permitted by law. BFA AUCTION will not, under any circumstances, be liable for any incidental or consequential damages to the Seller as a result of non-payment by the buyer. UNSOLD ITEMS. BFA AUCTION may sell an unsold lot for 30 days after the auction for an amount equal to or greater than the agreed reserve. Unsold items must be removed within 30 days or a fee of up to $20 per day will be charged for storage. Unsold items not collected within twelve months of a sale will become the property of BFA AUCTION. RESERVE / ESTIMATES. All property will be sold subject to a reserve, never to exceed the amount of the low pre-sale estimate. BFA AUCTION may sell a lot below the reserve, as long as you receive the net amount that you would have been entitled to receive if the lot had sold at the reserve. As your agent, BFA AUCTION will act to protect your reserve by bidding through the auctioneer. NO BIDDING BY SELLER. You, as Owner or Agent, agree not to bid on your property. If, however, you terminate the agreement not to bid and become the successful buyer of the property, you will be held responsible for both the buyer’s premium and the seller’s commission. RESCISSION. BFA AUCTION, as your agent, is authorized to accept the return and rescind the sale of any property if we, in our sole judgment, determine that the sale has subjected or may subject BFA AUCTION, or you to any liability, including but not limited to liability for authenticity, title or inaccurate description. In such a case, BFA AUCTION, under the Terms and Conditions, is authorized to reimburse the purchaser the purchase price. If BFA AUCTION has remitted payment to you on the rescinded sale, you will return that payment to BFA AUCTION within ten days of written notice of the rescinded sale. Your property will then be returned to you. INDEMNIFICATION. You agree to indemnify and hold harmless the purchaser and BFA AUCTION from and against any damages, losses, liabilities, cost and expenses related to the breach or alleged breach of your representations, agreements or warranties in this Consignment Agreement. Your representations, agreements, warranties and indemnities will subsist completion by this Consignment Agreement. SEVERABILITY. In the event that law herein invalidates any clause, the remainder of the clauses shall remain in full force and effect. MISCELLANEOUS. This agreement shall be governed, enforced and construed in accordance with the laws of the state of New Jersey. In the event of a dispute, you agree to submit to the exclusive jurisdiction of the state courts of and the Federal courts of the United States of America located in the state of New Jersey, and neither party shall be liable to the other for any special, consequential or incidental damages. This agreement shall be binding to your heirs, distributes, executors, legal representatives and beneficiaries.
