RM-1165993] Company with only one shareholder operating under the direction and coordination, pursuant to Art. 2497bis of the Italian Civil Code, by Bloomsbury Auctions Limited with offices in London, Great Britain 1. Bloomsbury Auctions Italia S.r.l., a company with only one shareholder, with principal office in Rome, Via Giosua Carducci No. 4 and operating office in Via della Pilotta Nos. 16/20, recorded with the Companies Register of Rome and Fiscal Code No. 09479031008 [Company Register Code RM-1165993], with capital stock fully paid of Euro 105.000,00 operating under the direction and coordination, pursuant to Art. 2497bis of the Italian Civil Code, by Bloomsbury Auctions Limited with offices in London, Great Britain (hereinafter referred to as "Bloomsbury", in carrying out its selling activity, acts as an agent on an exclusive basis in its name but on behalf of each Seller, whose name is registered in the special books held at Bloomsbury's office pursuant to the Police Regulations. The sales shall be deemed concluded directly between the Seller and the Buyer (hereinafter referred to as the 'Buyer'; it follows that Bloomsbury undertakes no responsibility except that deriving from its role as agent. 2. The lots are knocked down to the highest bidder. If any dispute arises between two or more bidders, the disputed lot may, at the sole discretion of the Auctioneer, immediately be re-offered and resold. 3. Bloomsbury reserves the right to withdraw any lot in its absolute discretion and without need of any notice. During the auction, the auctioneer in its absolute discretion is entitled to change the order of sale, to join and/or separate any two or more lots. Bloomsbury, moreover, shall also withdraw lots if the bids do not reach the reserve price, as agreed between Bloomsbury and the Seller. 4. The minimum rate by which a bid may be increased is 10% of the minimum starting price, unless otherwise communicated by the Auctioneer. 5. The highest bidder by making its bid undertakes to pay to Bloomsbury the hammer price of the lot plus the commission for the auction rights due to Bloomsbury plus taxes and other charges applicable to the sale and to the commission. 6. Title to the lots is transferred to the highest bidder only upon full payment of the hammer price and of the commissions referred to in paragraph 7 herein below. The following modalities of payment are accepted: a. by cash(in house only) up to Euro 5000,00; b. by credit card (No American Express and NO REMOTE CREDIT CARD PAYMENT); c. by banker's draft and/or certified non negotiable cheque payable to Bloomsbury Auctions Italia S.r.l.; d. by bank transfer to the banking account No. 400851407 in the name of Bloomsbury Auctions Italia S.r.l. with Banca di Roma Filiale No. 70 of Rome, Via del Corso No. 307, identified with the following banking data: ABI 03002, CAB 03270, CIN B, IBAN IT69B0300203270000400851407, SWIFT UNCRITMM.. In case of payment made by cheque or banking remittance, the payment shall be deemed made only when Bloomsbury's bank has confirmed the encashment of the cheque or the receipt of the remittance. 7. The commissions due to Bloomsbury by the Buyer are the following: - 24 % of the hammer price of each lot up to an amount of Euro 300.000,00; - 12% of the hammer price on any amount in excess of Euro 300.000,00. 8. In Italy the Legislative Decree No. 118/2006 provides a so called 'Diritto di Seguito' (artist's resale right) namely the right of the artist, who created figurative works or manuscripts, during his entire life and the right of his heirs for a period of 70 years from the artist's death, to receive a payment calculated at a percentage of the sale price of the originals of his works on occasion of subsequent sales of the artist's works. The lots in relation to which the above mentioned Decree is applicable are marked in the catalogue with the alpha symbol placed at the side of the number of the lot. Such artist's compensation is at charge of the Buyer and is calculated on the hammer price if it is equal or higher than Euro 3.000,00. This compensation cannot in any case be higher than Euro 12.500,00 for each lot. The amount of the compensation to be paid is calculated as follows: 4% for the sum of the hammer price between Euro 3000,00 and Euro 50.000,00; 3% for the sum of the hammer price between Euro 50.000,01 and Euro 200.000,00; 1% for the sum of the hammer price between Euro 200.000,01 and Euro 350.000,00; 0,50% for the sum of the hammer price between Euro 350.000,01 and Euro 500.000,00; 0,25% of the hammer price in excess of Euro 500.000,00. The artist's compensation charged to Buyer shall be paid by Bloomsbury to SIAE, pursuant to what prescribed by the Italian law. 9. Each prospective Buyer must complete and sign a registration form, including personal data and bank references prior to each auction. Said data shall be treated confidentially pursuant to the applicable laws on privacy, as indicated in details in the appropriate notice delivered to the prospective buyers. Bloomsbury reserves to itself the right to refuse bids made by persons not registered or not identified or who has not given adequate bank references. 10. Bloomsbury will be entitled to execute bids for specific lots on behalf of clients known to it, making bids through the auctioneer in competition with the other bidders attending the sale. In the event of two identical bids, the bid communicated by the auctioneer shall prevail over the bid made by other bidders. 11. Bloomsbury acts as mere agent of the Sellers and shall not be held liable for the description of the lots in the catalogues, brochures and other publications. Statements in the catalogue or condition reports or any other indication or illustration regarding the lots, are purely statements of opinion and are not to be relied upon as statements of warranty. Before every auction, an exhibition of the lots shall take place in order to allow a through evaluation of the authenticity, the state of preservation, the provenance and the type and quality of any lot. Following the sale, neither Bloomsbury's nor the Sellers shall be liable for any defects relative to the state of preservation, nor do they warrant the correctness of statements concerning attribution, authenticity, provenance, weight or quality in any item. Neither Bloomsbury's nor its personnel shall have the authority to make or give any representation or warranty in this respect, except for cases provided by law. Without prejudice to what established hereinabove or by imperative provisions of law any liability for damages either by Bloomsbury or by the Seller shall be limited to the hammer price of the related lot. 12. The estimates regarding the possible sale price of each lot are expressed in Euro and are printed under their description in the catalogue and are not inclusive of the commissions payable by the Buyer to Bloomsbury. Estimates are subject to revision at any moment, so that the lots may be offered at the auction at a price different from that indicated in the catalogue. The description of the lots in the catalogue can also be subject to revision by way of appropriate communications to the public during the auction. 13. The Buyer shall pay to Bloomsbury the hammer price plus the commission due to Bloomsbury for the action fees immediately after the conclusion of the auction and, in any case, within seven working days, unless otherwise previously agreed in writing with Bloomsbury. 14. In the event of delays in the payment of the hammer price plus commissions by the Buyer, Bloomsbury may charge to the Buyer liquidated damages at the rate of 12% per year calculated for the actual days of delay, saving the right of Bloomsbury, after the elapse of seven days from the auction, to cancel the sale of the lot and to resell the lot by future auction or by private sale, withholding in any case, as liquidated damages, advance payments, if any, made by the Buyer. The unpaid lots shall be kept in custody by Bloomsbury at risk and cost of the Buyer until they are sold, as provided for in the precedent paragraph, or returned to the Seller upon his request, it being understood that, until the sale or the return of the lots to the Seller, the Buyer shall be obliged to pay to Bloomsbury the above mentioned liquidated damages. 15. The Buyer, after the payment of the hammer price and of the commission, should collect the lots at his own risk and costs within seven days from auction. After this time, Bloomsbury shall not be held liable towards the Buyer with reference to the custody, to any possible deterioration or wear and tear of the lots and will have right to transfer lots which have not been collected at the expense and risk of the Buyer to its office or to private or public warehouse. Bloomsbury may arrange to have the lots packed, insured and shipped at the express request, expense and risk of the Buyer, upon receipt of the related payment. 16. The Buyer, with respect to the lots declared of significant interest by the Italian State, shall comply with the provision set forth in the Legislative Decree No. 42 of January 22, 2004 (so called 'Codice dei beni culturali'). The export of lots by the Buyers, both resident and not resident in Italy, is governed by the above mentioned provisions of law and are also subject to customs, currency and tax-regulations in force. Bloomsbury shall not be held liable for any restrictions on export of the sold lots or for any licenses or permits that the Buyer must obtain under Italian law. In the event that the Italian State exercise the right of pre-emption, the Buyer shall not be entitled to receive either from Bloomsbury or from the Seller any refund of the interest on the sale price and on the commissions already paid to Bloomsbury. 17. If, within 21 days from the date of the sale, the Buyer has notified Bloomsbury in writing that he/she has grounds for believing that the lot concerned is a forgery or has substantial defects, Bloomsbury shall be entitled, in its sole discretion, to cancel the sale and disclose to the Buyer the name of the Seller, giving prior notice to him/her. 18. In any case of auctions concerning books, the Buyer shall not be entitled to dispute any damage to bindings, foxing, wormholes, trimmed pages or plates or any other defect affecting the integrity of the text and/or illustrative material, including missing indices of plates, blank pages, insertions, supplements and additions subsequent to the date of publication of the work. No refund will be considered for books not described in the catalogue. 19. In the event that Bloomsbury is notified or become aware of a claim by a third party about the ownership or possession or control of one or more lots, it may, in its absolute discretion, retain possession of the lots for such period as it is reasonable for the settlement of the claim. 20. These general conditions of sale shall be deemed accepted entirely and automatically by the sale participants and are available to any person requesting them. Any dispute relating to these general conditions on the auctions shall be submitted to the exclusive jurisdiction of the Rome Courts and shall be governed by Italian Law, saving Bloomsbury rights to submit the claim to the Court where the defendant is resident. RM-1165993, Capitale Sociale Euro 105.000 i.v. sottoposta ad attività di direzione e coordinamento, ai sensi dell'articolo 2497bis del Codice Civile da parte della società Bloomsbury Auctions Limited con sede in Londra, Gran Bretagna (qui di seguito definita "Bloomsbury"), nello svolgimento della sua attività di vendita agisce quale mandataria in esclusiva in nome proprio e per conto di ciascun Venditore il cui nome viene trascritto negli appositi registri di Pubblica Sicurezza tenuti presso Bloomsbury. La vendita deve considerarsi intervenuta tra il Venditore e l'Acquirente (qui di seguito definito l' "Aggiudicatario"); ne consegue che Bloomsbury non assume in proprio alcuna responsabilità oltre a quella ad essa derivante dalla propria qualità di mandataria. 2. Gli oggetti offerti all'asta saranno aggiudicati al miglior offerente. Qualora durante lo svolgimento di un'asta sorga controversia sull'Aggiudicatario, il Banditore potrà a sua assoluta discrezione, rimettere l'oggetto in vendita all'asta e procedere ad una nuova aggiudicazione. 3. Bloomsbury si riserva la facoltà di ritirare dall'asta qualsiasi lotto a sua assoluta discrezione e senza alcun preavviso. Durante l'asta il Banditore, a sua discrezione, potrà variare l'ordine di vendita, abbinare e/o separare i lotti Bloomsbury si riserva, inoltre, di non procedere all'aggiudicazione e/o di ritirare i lotti per i quali le offerte d'asta non raggiungano il prezzo minimo di riserva concordato con il Venditore. 4. Il rilancio minimo in aumento delle offerte è fissato nella misura del 10% del prezzo base d'asta, salvo diverse comunicazioni da parte del Banditore. 5. L'offerente, con la formulazione della propria offerta, si impegna a corrispondere a Bloomsbury il prezzo di aggiudicazione del lotto oltre alla commissione per i diritti d'asta, imposte ed altri oneri applicabili alla vendita ed alla commissione. 6. La proprietà dei lotti aggiudicati passa all'Aggiudicatario solo previo pagamento integrale del prezzo di aggiudicazione e delle commissioni per i diritti d'asta, di cui al successivo punto 7. Vengono accettate le seguenti modalità di pagamento: a) in contanti fino ad Euro 5000,00; b) mediante carta di credito; c) mediante assegni circolari e/o bancari non trasferibili intestati a Bloomsbury Auctions Italia S.r.l. d) mediante bonifico bancario su c/c n. 102305.35 intestato a Bloomsbury Auctions Italia S.r.l., in essere presso Banca di Roma. Filiale n. 70 di Roma, Via del Corso n. 307, contraddistinto dalle seguenti coordinate bancarie: ABI 03002, CAB 03270, CIN M, IBAN IT23M03002032700000102305.35, SWIFT BROMITR1072. Nel caso di pagamento con assegni o bonifici bancari, il pagamento s'intende effettuato solo dopo che la banca di Bloomsbury abbia confermato il buon esito dell'assegno e/o dell'accredito. 7. Le commissioni per i diritti d'asta dovute a Bloomsbury dall'Aggiudicatario sono le seguenti: - 24% del prezzo di aggiudicazione fino ad un importo di Euro 300.000,00. - 12% del prezzo di aggiudicazione sugli importi eccedenti Euro 300.000,00 8. Ai sensi del D. Lgs. n. 118/2006 vige in Italia il cosiddetto "Diritto di Seguito", ossia il diritto dell'autore vivente di opere di arti figurative e di manoscritti ovvero dei suoi eredi, ove l'autore sia deceduto da meno di 70 anni, a percepire un compenso calcolato in forma percentuale sul prezzo di vendita degli originali delle proprie opere in occasione delle vendite successive alla prima. I lotti per i quali è prevista l'applicazione di questa legge sono contrassegnati in catalogo dal simbolo alpha accanto al numero del lotto. Tale diritto sarà a carico del compratore e sarà calcolato sul prezzo di aggiudicazione uguale o superiore a Euro 3.000. Tale diritto non potrà comunque essere superiore a Euro 12.500 per ciascun lotto. L'importo del diritto da corrispondere è così determinato: 4% per la parte del prezzo di aggiudicazione compresa tra Euro 3.000 e Euro 50.000 3% per la parte del prezzo di aggiudicazione compresa tra Euro 50.000,01 e Euro 200.000 1% per la parte del prezzo di aggiudicazione compresa tra Euro 200.000,01 e Euro 350.000 0,50% per la parte del prezzo di aggiudicazione compresa tra Euro 350.000,01 e Euro 500.000 0,25% sul prezzo di aggiudicazione oltre Euro 500.000. Il diritto di seguito addebitato al compratore sarà versato da Bloomsbury alla SIAE in base a quanto stabilito dalla legge. 9. Coloro che desiderano partecipare ad un'asta, dovranno preventivamente compilare e sottoscrivere una scheda di partecipazione, indicando tutti i loro dati personali e le loro referenze bancarie. Tali dati saranno trattati in conformità alla vigente normativa sulla tutela della riservatezza dei dati personali (c.d. Privacy), come da informativa che verrà consegnata ai partecipanti. Bloomsbury si riserva la facoltà di rifiutare le offerte provenienti da persone non registrate ed identificate o che non abbiano presentato adeguate referenze bancarie. 10. Bloomsbury si riserva la facoltà di accettare mandati per l'acquisto di determinati lotti da parte di clienti ad essa noti, nel qual caso, il Banditore effettuerà rilanci sulla base delle istruzioni ricevute dal cliente in competizione con le offerte formulate in sala. In caso di offerte del medesimo importo, prevarrà l'offerta comunicata dal Banditore su quella dell'offerente in sala. 11. Bloomsbury agisce in qualità di mandataria del Venditore e declina qualsiasi responsabilità in ordine alla descrizione degli oggetti contenuta nei cataloghi, nelle brochures ed in qualsiasi altro materiale illustrativo; tali descrizioni, cosà come ogni altra indicazione o illustrazione, dovranno considerarsi puramente indicative e non possono generare affidamenti di alcun tipo negli Aggiudicatari. Tutte le aste saranno precedute da un'esposizione al fine di permettere un esame approfondito circa l'autenticità, lo stato di conservazione, la provenienza, il tipo e la qualità degli oggetti. Dopo l'aggiudicazione né i Venditori potranno essere ritenuti responsabili per i vizi relativi allo stato di conservazione, per l'errata attribuzione, l'autenticità la provenienza, il peso o la mancanza di qualità degli oggetti. Né Bloomsbury né il personale incaricato da Bloomsbury potranno rilasciare una qualsiasi garanzia in tal senso, salvi i casi previsti dalla legge. Fermo quanto sopra e quanto previsto da norme inderogabili di legge qualsiasi richiesta risarcitoria vuoi nei confronti della Bloomsbury che del Venditore non potrà eccedere l'importo di aggiudicazione del relativo lotto. 12. Le stime relative al prezzo base di ciascun lotto, espresse in euro, sono stampate sotto la descrizione dei lotti riportata nel catalogo e non includono i diritti d'asta dovuti dall'Aggiudicatario. Tali stime possono essere soggette a revisione in qualsiasi momento, per cui i lotti potranno essere offerti all'asta ad un prezzo base diverso da quello indicato nel catalogo. Anche le descrizioni dei lotti nel catalogo potranno essere soggette a revisione mediante comunicazioni al pubblico durante l'asta. 13. L'Aggiudicatario dovra corrispondere a Bloomsbury il prezzo di aggiudicazione piu i diritti d'asta immediatamente dopo la conclusione dell'asta e, comunque, entro 7 giorni lavorativi, salvo diverso preventivo accordo scritto con Bloomsbury. 14. Nel caso di ritardi nel pagamento del prezzo di aggiudicazione e dei diritti d'asta, Bloomsbury potrà addebitare allggiudicatario una penale nella misura del 12% annuo calcolato per i giorni di ritardo nel pagamento, salvo il diritto della stessa, decorsi sette giorni dalla data dell'asta, di considerare revocata l'aggiudicazione e di procedere alla vendita dei lotti a trattativa privata ovvero in una successiva asta in danno dell'Aggiudicatario, trattenendo, comunque, a titolo di penale, eventuali acconti ricevuti. Gli oggetti di cui sopra verranno custoditi da Bloomsbury a rischio e spese dell'Aggiudicatario fino a quando non saranno venduti come previsto al precedente paragrafo oppure restituiti al Venditore su richiesta del medesimo, fermo restando che, fino alla data di restituzione o di vendita, l'Aggiudicatario, sarà tenuto a corrispondere a Bloomsbury la penale sopra menzionata. 15. L'Aggiudicatario, dopo che avrà saldato il prezzo e le commissioni per diritti d'asta, dovrà ritirare i lotti acquistati a propria cura, rischio e spese entro 7 giorni dall'aggiudicazione. Decorso tale termine, Bloomsbury esonerata da ogni responsabilità nei confronti dell'Aggiudicatario in relazione alla custodia, all'eventuale deterioramento o deperimento degli oggetti ed avrà diritto a trasferire i lotti non ritirati a spese e rischio dell'Aggiudicatario presso i propri uffici ovvero magazzini pubblici o privati. Bloomsbury potrà organizzare l'imballaggio ed il trasporto dei lotti a spese e rischio dell'Aggiudicatario su espressa richiesta di quest'ultimo e previo pagamento dei relativi costi. 16. Gli Aggiudicatari saranno tenuti, per gli oggetti sottoposti alla notifica da parte dello Stato, all'osservanza di tutte le disposizioni di cui al D. Lgs. 22 Gennaio 2004 n. 42 (c.d. "Codice dei Beni Culturali"). L'esportazione di oggetti da parte di Aggiudicatari residenti e non residenti in Italia sarà regolata dalla suddetta normativa nonche dalle leggi doganali, valutarie e tributarie in vigore. Bloomsbury non assume alcuna responsabilità nei confronti degli Aggiudicatari in ordine ad eventuali restrizioni all'esportazione dei lotti aggiudicati ne in ordine ad eventuali licenze od attestati che l'Aggiudicatario di un lotto debba ottenere in base alla legge italiana. L'Aggiudicatario, in caso di esercizio del diritto di prelazione da parte dello Stato, non potrà pretendere da Bloomsbury e/o dal Venditore alcun rimborso di eventuali interessi sul prezzo delle commissioni d'asta già corrisposte. 17. In caso di contestazioni ritenute fondate da Bloomsbury per oggetti contraffatti o falsificati o recanti vizi sostanziali, purche la relativa comunicazione scritta pervenga a Bloomsbury entro 21 giorni dalla data di aggiudicazione, quest'ultima potrà, a sua discrezione, annullare la vendita o rivelare all'Aggiudicatario che lo richieda il nome del Venditore, dandone preventiva comunicazione a quest'ultimo. 18. Per quanto riguarda le aste di libri, non saranno accettate contestazioni relative a danni alla legatura, macchie, fori di tarlo, carte o tavole rifilate e ogni altro difetto che non leda la completezza del testo e/o dell'apparato illustrativo; mancanza di indici di tavole, fogli bianchi, inserzioni, supplementi e appendici successivi alla pubblicazione dell'opera. Non saranno, inoltre, accettate contestazioni relative a libri non descritti in catalogo. 19. Nel caso in cui Bloomsbur y sia stata informata o venga a conoscenza di un'eventuale pretesa o diritto di ter zi inerente alla proprietà, possesso o detenzione di uno o piu lotti, essa potrà, a sua discrezione, trattenere in custodia tali lotti nelle more della composizione della controversia o per tutto il periodo ritenuto ragionevolmente necessario a tale composizione. 20. Le presenti Condizioni di Vendita si intendono integralmente e tacitamente accettate da quanti concorrono all'asta e sono a disposizione di qualsiasi interessato che ne faccia richiesta. Per qualsiasi controversia relativa alle presenti condizioni ed allo svolgimento dell'asta si applicherà la legge italiana e sarà competente in via esclusiva il Foro di Roma, salva la facoltà di Bloomsbury di agire innanzi al foro del convenuto.
