General Conditions of Sale
Buying at Auction
San Luca acts in its own name and on behalf of the Seller, thus merely as an intermediary between Buyer and Seller. Therefore, the sale of each lot must be considered as concluded directly between Buyer and Seller. Prospective Buyers are required to consult the Website for the most up-to-date catalogue entries.
Provenance
In certain cases, San Luca may publish the ownership history of a lot in the auction catalogue when such information is deemed useful for study or to distinguish the lot itself. However, the identity of the Seller or previous owners may not be disclosed for various reasons, such as at the Seller's request for confidentiality or because the previous ownership is unknown due to the age of the lot.
Price, Buyer's Premium, and VAT
A Buyer's Premium will be added to the hammer price of each lot, payable by the Buyer as part of the Total Amount Due.
The Buyer's Premium is established as follows:
26% (21.32 + VAT) on the hammer price.
VAT
Value Added Tax (VAT) may be applied to the Price and/or Buyer's Premium. Please refer to the information relating to VAT in the "Symbols" section below.
To harmonize tax procedures within the European Union, from 1 January 2001 Italy extended the margin scheme to auction houses. Article 45 of Law 342 of 21 November 2000 provides for the application of such regime to sales executed under commission contracts entered into with:
(a) private individuals;
(b) taxable persons who have subjected the transaction to the margin scheme;
(c) taxable persons who could not deduct VAT pursuant to Articles 19, 19-bis, and 19-bis2 of DPR 633/72 (who sold the lot exempt ex art. 10, 27-quinquies);
(d) persons benefitting from the small business exemption scheme in their State of residence.
In these cases, any VAT (or a substitute amount, if applicable) will be applied by San Luca. No particular symbol will be used to identify lots sold under the margin scheme.
Currency
During some auctions, a screen may display updated exchange rates of major foreign currencies simultaneously with bidding in the auction room. These rates are for guidance only and all bidding shall be made in Euros. San Luca accepts no responsibility for any errors or omissions displayed. Payment of purchased lots must be made in Euros. Equivalent amounts may be paid in foreign currency, provided they are calculated on the exchange rate of the day of payment.
Security
To safeguard the safety of prospective Buyers and Buyers while on our premises, San Luca displays all works in such a way as to avoid hazards. However, should a prospective Buyer handle works during viewing, such handling is entirely at his/her own risk. Large and heavy lots may be dangerous if handled incorrectly. Those wishing to inspect a lot in detail must request the assistance of San Luca staff. Some lots may be marked with "please do not touch" or a similar notice. In such cases, staff assistance must be requested. Except in cases of willful misconduct or gross negligence, San Luca shall not be held liable for any damages suffered by prospective Buyers, Buyers, or their advisers during inspection of the lots.
Estimates Published in the Catalogue
Catalogue estimates are provided as a guide only for prospective Buyers and are subject to revision. The actual Price may be higher or lower than the printed estimates. It is understood that estimates do not include the Buyer's Premium and, where marked with ?, VAT. Prospective Buyers are required to consult the Website for the most up-to-date catalogue entries.

The Auction
Conduct of the Auction
These General Conditions of Sale may be amended by a notice posted in the auction room or by an announcement made by the auctioneer prior to the beginning of the auction. Where San Luca allows participation online, such changes will also be communicated through the Website before the auction begins.
Bids may be made personally with a numbered paddle during the auction, by written absentee bid submitted before the sale, by telephone, or via the Internet (where available for the specific auction).
Where the Seller is a professional and the Buyer is a consumer under Article 3 of the Consumer Code, sales concluded by written, telephone, or online bid constitute distance contracts under Articles 45 et seq. of the Consumer Code.
The pace of the auction may vary between fifty (50) and one hundred twenty (120) lots per hour.
Bid increments are generally ten percent (10%) above the previous bid.
San Luca reserves the right, at its absolute discretion, to refuse participation in the auction to any person.
For each prospective Buyer, San Luca may condition participation in the auction upon presentation of a bank reference letter or a deposit as security for due performance of the obligations set forth herein, refundable at the conclusion of the sale.
Anyone making a bid will be deemed to be personally liable for the purchase, unless prior written agreement has been made with San Luca stating that the bidder is acting as an agent on behalf of a third party accepted by San Luca.
If a person allowed to bid on a lot has a direct or indirect interest in that lot (e.g. beneficiary or executor of an estate, co-owner of the lot, or a party who has provided security for it), San Luca will disclose this in the catalogue.
The auctioneer conducts the auction starting from the bid he deems appropriate, considering the lot's value and competing offers. The auctioneer may open bidding on each lot by placing a bid in the Seller's interest. He may also place bids in the Seller's interest up to the amount of the reserve, by making consecutive or responding bids.
The fall of the hammer marks acceptance of the highest bid, the determination of the Price, and consequently the conclusion of the contract of sale between Seller and Buyer.
At his absolute discretion and at any time during the sale, the auctioneer may:
(a) withdraw a lot from the auction;
(b) reopen bidding on a lot if he believes there has been an error or dispute; and/or
(c) take such other steps as he deems appropriate under the circumstances, including combining or dividing lots, or changing the order of sale, provided that no lot is offered on a date earlier than that published in the catalogue.
During some auctions, a video screen may be in use. San Luca accepts no liability for the correspondence of the screen image to the original lot, nor for any errors in its operation.
If a lot has been declared of cultural interest by the Ministry of Culture, San Luca will announce this before the sale. In such a case, the Seller must notify the Ministry pursuant to Article 59 of the Codice Urbani. The sale is subject to the suspensive condition that the Ministry does not exercise its right of pre-emption within sixty (60) days from receipt of notice, or within the extended period of one hundred eighty (180) days under Article 61, paragraph 2, of the Codice Urbani. During this period, the lot cannot be delivered to the Buyer.
"Best offer," "subject to inspection," or alternative lot bids will not be accepted.
Bidding in the Room
To participate in the auction in the room, prospective Buyers must obtain a numbered paddle before the sale begins.
Paddles are issued by San Luca's registration desk staff upon presentation of identification and completion and signing of the registration form.
By completing and signing the registration form, each prospective Buyer accepts these General Conditions of Sale.
Registration is also possible during the exhibition days preceding the auction.
Bidding on behalf of another person (individual or legal entity) is permitted. In such case, a written proxy from the represented party, together with a copy of the represented party's ID, must be presented at registration. The bidder will be jointly liable with the represented party towards San Luca for all obligations under these General Conditions of Sale. Where the represented party is a legal entity, the proxy must be signed by its legal representative or an authorized signatory, whose ID must be attached. San Luca reserves the right to deny participation if authority of representation is not adequately demonstrated.
Numbered paddles must be used to indicate bids to the auctioneer.
In case of successful bid, bidders must ensure that the paddle is visible to the auctioneer and that the number is announced.
Any doubts regarding Price or Buyer must be raised immediately with the auctioneer.
Loss of the paddle must be reported immediately to the auctioneer's assistant, who will issue a replacement.
If San Luca receives simultaneous room and online bids of the same amount for the same lot, the lot will be awarded to the bidder in the room.
Written Bids
Written bids may be submitted by completing and sending the appropriate form (together with the required documentation) attached to the catalogue and available on the Website.
The service is free and confidential.
The form must be received by San Luca at least twenty-four (24) hours before the auction.
Written bids will be accepted only if sufficiently clear and complete, with specific reference to the lot number and maximum bid.
If multiple written bids of the same amount are received for the same lot, priority will be given to the bid first received by San Luca.
In executing written bids, San Luca will take account of the reserve and other competing bids to obtain the lot at the lowest possible Price.
The amounts indicated on the bid form are understood as maximum amounts. Unlimited or unspecified bids will not be accepted.
Each bid form must apply to one specific auction only. Alternative bids may be accepted if the word "OR" is clearly indicated between lot numbers.
After the sale, those who submitted written bids must promptly check with San Luca whether their bid was successful.
In case of a successful bid where the Seller is a professional and the Buyer a consumer under Article 3 of the Consumer Code, the Buyer shall not have a right of withdrawal (recesso) under Article 59, paragraph 1, letter m) of the Consumer Code, as the contract of sale is concluded at a public auction under Article 45, paragraph 1, letter o).
Telephone Bids
Telephone bids may be arranged by completing and sending the appropriate form (together with the required documentation) attached to the catalogue and available on the Website.
The form must be received by San Luca at least twenty-four (24) hours before the auction.
Once received, San Luca will contact the prospective Buyer at the number indicated on the form during the sale.
If the client cannot be reached, San Luca will automatically place bids on his/her behalf up to the minimum estimate in the catalogue.
San Luca reserves the right to record telephone bids and accepts no liability for inadvertently missed bids or for errors in execution. Telephone bidding will be organized within the limits of available lines.
San Luca may refuse telephone bids for lots with a pre-sale minimum estimate under ?200. The service is provided subject to demand and line availability.
San Luca staff are available to conduct telephone bids in English and French.
In case of successful bid where the Seller is a professional and the Buyer a consumer under Article 3 of the Consumer Code, the Buyer shall not have a right of withdrawal under Article 59, paragraph 1, letter m) of the Consumer Code, as the contract of sale is concluded at a public auction under Article 45, paragraph 1, letter o).
Internet Bids
Participation via Internet allows prospective Buyers to see and hear the auctioneer and to place bids in real time.
Participation online requires prior registration on the Website and subsequent auction registration at least twenty-four (24) hours before the sale.
Once registered, each user will receive by email a password, which must be kept secure and not disclosed to third parties, for access to the Website and participation in auctions.
Registered users are responsible for all activity conducted through their login credentials and must promptly notify San Luca of any unauthorized use or loss of their password. A new password will then be issued, and the old one deactivated.
San Luca does not guarantee that the Website will always be operational or free from interruptions, nor that the Website or its server will be virus-free. Except in cases of willful misconduct or gross negligence, San Luca accepts no liability for technical problems during the auction (e.g. slow Internet connection or server malfunction).
San Luca accepts no liability for any damage or inconvenience arising from improper use of the Website.
Prospective Buyers undertake not to use any software or tools to influence or interfere (even potentially) with the conduct of the auction and to use the Website and its applications in good faith.
Where San Luca allows online participation, these General Conditions of Sale also govern bidding and purchase of lots through third-party auction platforms. The online auction to which these Conditions apply is a public auction (as defined in Article 45, paragraph 1, letter o) of the Consumer Code), the same as can be attended in person, by telephone, or by written bid.
The offering and sale of lots by San Luca via the Internet constitutes a distance contract governed by Chapter I, Title III (Articles 45 et seq.) of the Consumer Code and by Legislative Decree 70/2003 on electronic commerce.
In case of successful bid where the Seller is a professional and the Buyer a consumer under Article 3 of the Consumer Code, the Buyer shall not have a right of withdrawal under Article 59, paragraph 1, letter m), as the sale is concluded at a public auction under Article 45, paragraph 1, letter o).
San Luca's Obligations Towards the Buyer
San Luca acts in its own name and on behalf of the Seller, thus merely as an intermediary, except in cases where it is the owner, in whole or in part, of a lot.
Depending on the type of auction and upon Buyer's request, San Luca may, at its discretion and possibly for a fee, provide a written Condition Report on the state of preservation of a lot.
If, after the auction, a lot is determined to be a Counterfeit, San Luca will reimburse the Buyer who requests rescission of the contract of sale--provided that the lot is returned to San Luca--by refunding the Total Amount Due, provided that, no later than five (5) years from the date of the sale, the Buyer:
(a) notifies San Luca in writing, within three (3) months of discovering information leading him/her to consider the lot a Counterfeit, specifying the lot number, the date of the auction, and the reasons for believing the lot is a Counterfeit;
(b) is able to return the lot to San Luca, free from third-party claims, in the same condition as at the date of sale;
(c) provides San Luca with reports from two independent and recognized scholars or experts explaining the reasons why the lot should be considered a Counterfeit.
San Luca reserves the right to rescind the sale even if one or more of the above conditions are not met, in whole or in part.
San Luca will not be bound by the Buyer's expert opinions and reserves the right to obtain, at its own expense, additional expert opinions. Should San Luca decide to rescind the sale, it may also reimburse the Buyer, in reasonable measure, for the costs incurred in obtaining the two expert reports, provided they are accepted by both San Luca and the Buyer.
The Buyer shall not have the right to rescind the contract and San Luca shall not reimburse if:
(a) the catalogue description conformed with the generally accepted opinion of scholars and experts at the date of sale, or indicated that authenticity or attribution was disputed;
(b) at the time of catalogue publication, the lot's Counterfeit nature could be determined only by scientific analyses then considered inadequate, impractical, excessively costly, or potentially damaging to the lot.
Payment
In the event of a successful bid, the Buyer must pay San Luca the Total Amount Due immediately, and in any case within ten (10) days of the conclusion of the auction.
If the lot is subject to a declaration under Article 4.1.14 above, the Buyer undertakes to pay the Total Amount Due after the expiration of the statutory pre-emption period by the competent Ministry.
Payment of the hammer price, Buyer's Premium, and any additional expenses may be made by cash within legal limits, cashier's check, bank transfer, debit card, or credit card.
San Luca may accept cash payments only up to a total of ?4,999.99.

The transfer description must state the Buyer's name and invoice number.
Payment by debit or credit card may only be made by the cardholder or the holder of the related account.
San Luca reserves the right to verify the source of payments received and not to accept payments from persons other than the Buyer.
In limited circumstances, and only with the Seller's prior consent, San Luca may grant Buyers deemed reliable the option of deferred payment. The terms of deferred payment must be defined before the sale. Before granting deferred terms, San Luca may require references or documentation of the Buyer's identity and residence.
Pursuant also to Article 1523 of the Italian Civil Code, ownership of the lot passes from Seller to Buyer only upon full payment of the Total Amount Due.
In case of non-payment or late payment, in whole or in part, of the Total Amount Due within the above ten (10) day deadline, San Luca shall have the right, at its discretion, to demand performance or to terminate the contract under Article 1456 of the Italian Civil Code, without prejudice to its right to damages, and may also resell the lot on behalf and at the expense of the Buyer pursuant to Article 1515 of the Italian Civil Code.
In case of non-payment or late payment, San Luca may also refuse any future bids by the Buyer or his/her agent in subsequent auctions, or require a security deposit before accepting bids.
Furthermore, by registering for the auction, the Buyer expressly authorizes San Luca to charge the Total Amount Due directly to the credit card provided at registration in the event that payment is not made within the specified terms.
Delivery and Collection of the Lot
Delivery of the lot will take place at San Luca's premises or at the auction venue (if different), no later than ten (10) working days after the sale.
The lot will be released only upon full payment of the Total Amount Due, either to the Buyer or to a third party duly authorized by the Buyer with a written proxy.
At the time of collection, San Luca will require identification of the Buyer or the authorized agent.
Before arranging collection, Buyers must verify with San Luca where the lot is stored.
In the event of the Buyer's death, incapacity, or dissolution, duly notified to San Luca, the lot will only be released upon agreement of all legal successors or in accordance with judicial instructions.
If the Buyer does not collect the lot within ten (10) days from the sale, San Luca shall be entitled to:
(a) charge storage fees as follows: ?15/day for furniture and sculptures, ?10/day for paintings, ?5/day for objects. Prices exclude VAT and insurance (2% of the reserve price);
(b) deposit the lot with a third-party warehouse at the Buyer's risk and expense.
Transfer of Risk
A purchased lot is entirely at the Buyer's risk from the earliest of:
(a) the date the Buyer takes delivery of the lot;
(b) the date the Buyer pays the Total Amount Due; or
(c) the date ten (10) days after the sale.
The Buyer will be compensated for any loss or damage to the lot occurring after the sale but before transfer of risk. Compensation shall not exceed the hammer price plus Buyer's Premium received by San Luca, except in cases of willful misconduct or gross negligence.
Except in cases of willful misconduct or gross negligence, San Luca shall not be liable for loss of or damage to frames or glass covering or containing prints, paintings, or other works, unless such frame and/or glass is integral to the work.
In no case shall San Luca be liable for loss or damage arising from any intervention (including restoration, framing, or cleaning) carried out by independent experts engaged with Seller's consent, or from:
(a) changes in humidity or temperature;
(b) normal wear or gradual deterioration, including woodworm or latent defects;
(c) errors in treatment;
(d) war, nuclear fission, radioactive contamination, chemical, biochemical, or electromagnetic weapons;
(e) acts of terrorism;
(f) other force majeure events.
Shipping
Upon written request by the Buyer, San Luca may arrange packing and shipping of the lot, provided that the Buyer:
(a) has fully paid the Total Amount Due;
(b) provides San Luca with all necessary export certificates or licenses. San Luca may, upon request and after payment of the relevant service fee, handle such applications on behalf of the Buyer;
(c) has duly completed and signed the appropriate release form.
Unless otherwise agreed with the Buyer:
(a) packing and shipping are at the Buyer's expense and responsibility. Estimates must be requested at least twenty-four (24) hours before the sale if San Luca is to handle packing and shipping;
(b) insurance coverage for risks of loss and/or damage during transit must be arranged directly between Buyer and carrier, with no liability for San Luca;
(c) the cost of insurance shall be borne by the Buyer.
Packing and shipping are entirely at the Buyer's risk, and San Luca accepts no responsibility for acts or omissions of packers or shippers.
Export from the Italian Republic
The export of cultural property outside the territory of the Italian Republic is subject to the rules of the Codice Urbani. The export of cultural property outside the European Union is also subject to Regulation (EC) No. 116/2009 of 18 December 2008 and to Commission Implementing Regulation (EU) No. 1081/2012.
The export of a lot from Italy may require the issuance of a certificate of free circulation or an export license.
The sale is considered as having taken place in Italy, as is delivery of the lot: any issues relating to export are solely the responsibility of the Buyer.
Failure to obtain, or delays in obtaining, the certificate of free circulation and/or export license shall not constitute grounds for cancellation of the sale or justification for delayed payment of the Total Amount Due.
Protected Species
All lots made of or containing plant or animal materials (such as coral, crocodile, ivory, whale bone, tortoise shell), regardless of age or value, may require a license or certificate prior to export, and further licenses or certificates for import into non-EU countries.
Please note that possession of an import license or certificate does not guarantee the issuance of an export license or certificate, and vice versa.
San Luca advises prospective Buyers to check the laws of their country regarding import requirements for goods made of or containing protected species.
It is the Buyer's responsibility to obtain such import/export licenses or certificates, as well as any other required documentation, after purchase.

Lot Information
For Old Master and 19th-century paintings, only the period in which the attributed artist lived and the school to which he/she belonged will be certified.
Works from the 20th and 21st centuries (modern and contemporary art) are usually accompanied by certificates of authenticity and other documentation expressly cited in the catalogue entries. No other certificate, opinion, or expertise, requested or presented after the sale, will be considered valid grounds for contesting authenticity.
No claims relating to frames will be accepted, where such frames are described as merely accompanying a painting and without independent value. In such cases, all risks and responsibilities are borne solely by the Buyer.
All information regarding metal hallmarks, gold carat weight, diamonds, and colored stones should be regarded as indicative and approximate. San Luca cannot be held responsible for errors in such information or for forgeries of precious objects. San Luca does not guarantee certificates issued by independent gemological laboratories, although references to such results may be cited for Buyers' information.
Antique objects, by their nature, may have undergone restorations or modifications (such as repainting). Such interventions shall never be considered hidden defects or Counterfeits.
Electrical or mechanical goods are not tested before sale and are purchased at the Buyer's risk.
Watch movements are considered unserviced.
The Auction House acts solely as agent for the Seller. All catalogue descriptions, images, and illustrations are provided for identification and illustrative purposes only, are non-binding, and do not constitute guarantees of condition, attribution, authenticity, provenance, or functionality. Bidders are encouraged to request a condition report prior to bidding.
Lots are sold as seen and as described, are second-hand goods, and are purchased "as is". After adjudication, neither the Auction House nor the Seller shall be liable for defects, including but not limited to condition, attribution, authenticity, provenance, weight, or quality.
Participation via internet or telephone is at the bidder's own risk; the Auction House accepts no liability for technical issues or connection failures.
Buyers are solely responsible for complying with cultural-heritage, export, customs, and tax regulations, and for obtaining any required licences or certificates. The Auction House assumes no responsibility in this regard.
Applicable Law and Jurisdiction
These General Conditions of Sale are governed by Italian law.
For any dispute relating to the application, performance, or interpretation of these Conditions, the competent court is Padua.
This is without prejudice to the application of mandatory, more favorable provisions of the law of the country where the Buyer, as a consumer under Article 3 of the Consumer Code, has his/her habitual residence. In such cases, the competent court is that of the Buyer's residence or elected domicile.
A consumer residing in an EU Member State other than Italy may also access the European procedure for small claims under Regulation (EC) No. 861/2007 of 11 July 2007, provided the value of the dispute does not exceed ?2,000, excluding interest, rights, and expenses. The text of the Regulation is available on the website eur-lex.europa.eu.
Pursuant to Article 141-sexies, paragraph 3, of the Consumer Code, San Luca informs Buyers who qualify as consumers that, if they have filed a complaint directly with San Luca and it has not been possible to resolve the dispute, San Luca will provide information about one or more Alternative Dispute Resolution (ADR) bodies for the out-of-court settlement of disputes concerning contractual obligations arising from these Conditions. San Luca will also state whether it intends to make use of such ADR bodies.
San Luca also informs Buyers who qualify as consumers that an online dispute resolution platform (ODR platform) has been established by the European Commission, accessible at: https://ec.europa.eu/consumers/odr/. Through the ODR platform, consumers may consult the list of ADR bodies, find links to each body's website, and initiate an online dispute resolution procedure.
Privacy Notice (GDPR)
Pursuant to Article 13 of Regulation (EU) 2016/679 ("GDPR"), San Luca - as Data Controller - informs you that the personal data ("Data") you provide will be processed lawfully and fairly, mainly by electronic, automated, and/or video recording means (using methods and tools designed to ensure Data security and confidentiality), for the following purposes:
(a) fulfilling contractual obligations or taking pre-contractual measures at your request;
(b) managing relationships with Sellers and Buyers (e.g., administration of sales proceeds, invoices, shipping);
(c) checks and assessments relating to auction sales and associated risks;
(d) fulfilling fiscal, accounting, legal, or regulatory obligations;
(e) compliance with anti-money laundering legislation (Legislative Decree 231/2007 and subsequent amendments);
(f) security purposes related to video surveillance systems;

Data processing for purposes (a), (b), (d), and (e) does not require consent, as it is necessary for San Luca's contractual and legal obligations under Article 6(1)(b)(c) GDPR.
Data processing for purposes (c), (f), (g), and (h) is based on San Luca's legitimate interest under Article 6(1)(f) GDPR.
Processing for purposes (i) and (l) requires your consent under Article 6(1)(a) GDPR. Consent is optional; failure to provide it will only prevent San Luca from carrying out the related activities.
The provision of Data is optional. However, failure to provide Data for purposes (a)-(g) will make it impossible to participate in the auction or to fulfill San Luca's obligations. Failure to provide Data for purposes (h)-(l) will only prevent San Luca from carrying out those activities.
Data will be processed by San Luca employees or collaborators as persons authorized to process data.

Data will be retained for a maximum period corresponding to the statute of limitations of San Luca's rights. For marketing and profiling purposes, Data will be retained for a maximum of 24 and 12 months respectively.
