TERMS & CONDITIONS OF SALE An Auctioneer employed by Robert H. Clinton & Company, Inc., Auctioneers & Appraisers (the Auction Company), who is duly licensed in the State of Pennsylvania will conduct the auction scheduled for Saturday, March 10, 2007, commencing @ 9:30 A.M. EST for Bucks County Custom Cycles, LLC (the Seller), located at 7034 Easton Road, Pipersville, Bucks County, PA, USA, 18947. Items to be offered to on-line bidders via eBay/Live Auctioneers will be offered @12:30 P.M. EST Saturday, March 10, 2007. 1. In the event of any dispute where contending bidders each claim the final bid on a particular item, the Auction Company may reopen the bidding between the parties involved. The Auction Company has sole and final discretion in settling any such dispute. 2. It is the responsibility of prospective bidders to examine lots and decide their level of interest. All weights and measurements are approximate. During time provided for inspection of items prior to sale, buyers are responsible for making themselves aware of authenticity and condition. All buyers (both present and on-line) should pay particular attention to descriptions and comments listed with the merchandise to be sold in the catalog and to all clauses enumerated in these terms and conditions. 3. While every proper and reasonable effort is made to describe and represent to all potential buyers the condition of merchandise being offered for sale, it shall be agreed between the Buyer, Seller and the Auction Company that grading, condition and quality can, at times, be subjective. One person may view and evaluate something differently from another person. Therefore, having allowed time for physical inspection, questions and responses, all property at the auction is sold AS IS, WHERE IS and all SALES ARE FINAL. Any Buyer who chooses to participate accepts and understands the aforementioned statements. If any Buyer is not willing to accept property sold under these conditions and pay for any purchases in full per these terms and conditions of sale, they should seriously consider whether or not they wish to participate. Choosing to participate shall constitute acceptance of the language contained in this paragraph. 4. Further, the Auction Company is not responsible for any acts, errors or omissions on the part of the Seller. The Auction Company reserves the right to withdraw any item at any time prior to its being sold. 5. The Auction Company reserves the right to reject any bid it considers harmful to the conduct of the sale. Further, the Auction Company may refuse bids from anyone hindering the free and competitive bidding process. 6. Payment for items shall be made in cash, certified check or approved check (check to be approved prior to sale day) or credit card before removal of goods from the premises. Payment is to be made in full and verified before merchandise will be released. 7. All persons must be properly registered before anything can be purchased at the auction. The Auction Company and its hired employees reserve the right to ask any individuals physically present at the auction for identification as to proper name, address and telephone number. If any individual refuses to produce such identification, the Auction Company and its hired employees may refuse issuance of a buyer's number. 8. If the buyer is unable to settle his/her account with cash, certified check or credit card, a personal or business check may be accepted accompanied by a valid bank letter of guaranteed payment. The Auction Company may also accept a personal or business check and, and, at its discretion, also hold items purchased at buyer's risk until such check clears our bank (approximately 10 business days). After that, the buyer will be notified and arrangements will be made for the buyer to pick-up the items. Items not timely paid for and picked up shall, at Auction Company's discretion, be subject to resale at auction for buyer's account, with buyer to be additionally liable for any expenses incidental to such resale. All buyers requiring packaging/handling/shipping and/or insurance services are responsible for any and all costs associated with these services. Any buyer not settling their account in full with verified funds on auction day will be required to leave a 20% deposit of the total purchase price with either cash, check or credit card imprint with full payment to be made by 6:00 P.M. Eastern Standard time on Monday, March 12, 2007, with either cash, certified check or credit card. 9. When the Auction Company declares an item to be "sold", ownership immediately passes to the buyer who assumes full risk and responsibility for said item. Unless previous arrangements have been made, items are to be removed sale day or during such designated times as the Auction Company may direct. The Auction Company and its hired employees shall not be responsible for any items left on the premises with regard to breakage, theft, fire or any hazard whatsoever. Any item remaining at the Seller's facility once ownership passes to the buyer will be left at the buyer's risk. Responsibility to obtain insurance for any hazard whatsoever, and all costs, if any, associated with this is the buyer's responsibility. 10. Removal of Goods. Time is of the essence in removing merchandise from Seller’s facility. Buyers are asked to make every reasonable effort to remove all items by Thursday, March 15, 2007, by 4:00 P.M. Eastern Standard time. If this is not possible, special arrangements need to be made by the Buyer with the Seller and the Auction Company. If there are any additional costs for storage and handling of the Buyer's purchases, it will be the Buyer's responsibility to bear these costs. 11. The Auction Company reserves the right to accept and execute bids for absentee buyers only after items have been thoroughly inspected. 12. With specific regard to the motorcycle inventory (lot #4015 to 4029 in the on-line catalog listed for this auction), these motorcycles are represented as never titled and never sold. Certificates of origin accompany each motorcycle that will enable a prospective buyer to apply for a title. Odometer readings on the motorcycles represent test rides/and or demonstrations made through the owning dealership, Bucks County Custom Cycles, LLC. 13. With specific regard to the DynoJet Model 250 dynamometer (lot # 4030 in the catalog listing), this item was moved to its current location from another shop where it was in use. Since being at the current location, this machine has not been used or made operational. Therefore, it must be sold AS IS-WHERE IS as the Auction Company has not seen this item in use. Potential buyers should take this into account. 14. With specific regard to the 2006 Chevrolet 3500 Silverado LT crew cab pick-up truck (lot #4032 in the catalog listing), potential buyers should understand that this vehicle is currently financed through a lending company. Should the highest bid on this vehicle be accepted by the Seller, timely payment shall be made by the buyer enabling the seller to arrange for a payoff to be made for this truck with the lender. This will allow the Seller, with the Auction Company as agent, to obtain the title and transfer same to the buyer. As the Seller and the Auction Company have no control over the administrative procedures of the aforementioned lending company in processing issuance of the title, a period of 20 (twenty) business days from the date of auction shall be allowed to obtain said title. The Seller warrants that it will act with all due dispatch to obtain the title as soon as possible following auction day. If title is not produced within the stated 20 (twenty) business day period, the buyer may opt to void the sale and have the purchase price and all buyer's fees returned or continue the process. 15. A Pennsylvania licensed title service will be available at the auction to facilitate receipt of a title for any buyer who wishes to avail themselves of these services. Payment for these services will be the responsibility of the buyer. 16. Any reference made to business days shall not be interpreted to include weekends or legal holidays. 17. Fees & Payment Terms: On Lot #s 4001 to 4014 in the catalog posted for items being sold for Bucks County Custom Cycles, LLC, on the eBay/Live Auctioneers site to include the Snap-On tools and the Indian motorcycle furniture and signs. These 14 (fourteen) items will be sold at absolute auction to the highest bidder without limit or reserve as listed. On-line bidders will be responsible for paying the knock down price plus a 17% buyer’s premium. A 3% discount will be applied for items paid for with cash or acceptable bank check/draft. Bidders physically present at the auction will be responsible for paying the knock down price plus a 13% buyer's premium. A 3% discount will be applied for items paid for with cash or acceptable bank check/draft. On Lot #s 4015 to 4032 in the catalog posted on the eBay/Live Auctioneers site to include all of the motorcycles, DynoJet dynamometer, 2003 J&L Cargo Express Tandem Axle Trailer and the 2006 Chevrolet 3500 LT Silverado crew cab pick-up truck. These 18 (eighteen) items will be sold with the highest bid being subject to immediate confirmation by the Seller, meaning that the Seller (and Auction Company as agent for the Seller) has the right to accept or reject the highest bid offered. This decision will be made immediately as the auction is being conducted. If the Seller rejects the highest bid offered, there will be a brief opportunity for the Seller, Auction Company and the Buyer to negotiate a successful sale of the lot being offered. If a successful sale is not achieved, that particular lot will be passed and the auction will proceed with the next lot. Also, on lot #s 4015 to 4032 in the catalog, on-line bidders will be responsible for paying the knock down price plus a flat $275.00 buyer’s fee plus a 7% buyer’s premium. A 3% discount will be applied to the buyer’s premium for items paid for with cash or acceptable bank check/draft. For all items sold in this category of the catalog, bidders physically present at the auction will be responsible for paying the knock down price plus a flat $275.00 buyer’s fee plus a 3% buyer’s premium. A 3% discount will be applied for items paid for with cash or acceptable bank check/draft. Any applicable taxes on any purchases will be paid for the buyer. 18. The record of sale maintained by the Auction Company shall be final in the event of any dispute. 19. The catalog list, if applicable, is printed as a guide to assist the buyer in following the order of sale. While the Auction Company has made very effort to assure accuracy, it does not assume responsibility for errors and omissions.
