TERMS & CONDITIONS IMPORTANCE OF TERMS Please take the time to read the following set of terms and conditions for the auction. By obtaining a Bidder Number, you acknowledge that you have read and agree to these terms and conditions. BIDDER RESPONSIBILITIES Bidders are responsible for any and all activity, bids, and purchases involving their account. Once a bid has been placed, it cannot be lowered or deleted. SAINT GEORGE GALLERIES LLC and its consignors shall not be held liable for negligent bidding activity. Bidder agrees to keep its username and password confidential. Invoices are sent to the registered email address at the conclusion of the auction after sales records have been verified. All winning bids must be paid for on the day of the auction and no later than five business days following the auction date. SAINT GEORGE GALLERIES LLC will contact bidders to pursue payment if needed; however, payment resolution is the responsibility of the invoiced buyer. Non-payment issues will be reported to third-party bidding platforms and will result in suspension of bidding privileges. Should timely payment not be received in the manner requested or a buyer is suspected of fraudulent registration, the bidder will be in breach of the purchase agreement and SAINT GEORGE GALLERIES LLC reserves the right to rescind the sale and pursue all legal remedy. CONDITIONS Saint George Galleries LLC has endeavored to accurately describe the items being sold, but all property offered for sale is strictly "as - is" "where - is" with all faults. All sales are final and no refunds are given. The sales records and recordings shall be conclusive. It is the bidder's responsibility to determine the exact condition/authenticity of each item. No statement in this catalogue or by representatives of SAINT GEORGE GALLERIES LLC shall be considered as a warranty or assumption of liability. Written and oral descriptions given by SAINT GEORGE GALLERIES LLC staff members are given as a courtesy to a client, are only an opinion, and should not be considered as a guarantee of age, composition, or authenticity. The absence of a condition statement does not imply that the lot is in perfect condition or completely free from wear and tear or imperfections. High resolution images are provided to assist a bidder in making an additional assessment of condition. By bidding, you signify that you have either closely examined the items, have chosen not to examine them, or have hired an independent agent to examine the item(s) for you. Condition reports are available via the online catalog or by contacting the SAINT GEORGE GALLERIES LLC office. The online catalogue including full descriptions, condition reports, dimensions, and multiple images for each lot is available at www.lelandlittle.com. BUYER'S PREMIUM Absentee bidding and live real-time internet bidding is available at Saintgeorgegalleries.com with an 28% buyer's premium. Live internet bidding is available on a third-party platform with a 28% buyer's premium. PAYMENT All winning bids must be paid for on the day of the auction and no later than five business days following the auction date. Payment can be made by cash, approved certified funds, wire transfer, approved check, PayPal, Visa or MasterCard with a domestic U.S. billing address. New participants with invoices containing jewelry, silver, or coins will require payment by cash, approved certified funds, wire transfer, or approved check. With the exception of these categories, if a buyer fails to contact SAINT GEORGE GALLERIES LLC within five (5) business days following the sale, the credit card used to secure the bid will be charged the amount of the invoice. If paying by check, SAINT GEORGE GALLERIES LLC reserves the right to hold the item(s) until the check has cleared. Federal law requires we report payments above $10,000 made by cash or certain other cash equivalents, such as money orders. Credit card payments are subject to a $3,000 limit, or may be paid through Internet Platform Payment system. International (non-domestic United States) bidders will be required to pay by wire transfer. Wire transfer fees will be incurred by the buyer. At the auctioneer's discretion, certain lots will be required to be paid for by wire transfer. AUCTIONEER The auctioneer always reserves the right to withdraw or bid on a lot for any reason he deems appropriate, including any lots that may or may not have a reserve, or if there is a lack of bidding interest. SAINT GEORGE GALLERIES LLC shall have the right to withdraw any item at any time for any reason and to default any sale in the event of an error or dispute. Bid approval and acceptance on any bidding platform is at the discretion of the auctioneer. REGISTRATION Bidders may create an account at LelandLittle.com. After signing in to the Saintgeorgegalleries.com account, complete all necessary steps presented (e.g. agreeing to Terms of Sale) in order to proceed with bidding. All domestic US bids must be secured with a MasterCard or Visa. International bidders must acknowledge wire transfer payment terms. BIDDING When Absentee bidding, you may accept the current asking bid or enter a maximum bid value. Live real-time internet bidding does not allow a maximum bid to be entered, only the current asking bid may be accepted. Once a lot has opened for live real-time internet bidding, absentee bids can no longer be placed. SAINT GEORGE GALLERIES LLC cannot be held liable for bids that are not sent or received by the server. The Online-Only Auction has a soft close; each lot will have a 20 second timer after it opens for live real-time internet bidding. Any lot that receives a bid within the last 15 seconds will have its bidding time extended to 15 seconds. Any and all lots will close either at the designated closing time or at such point that it has not received an advanced bid within a 15 second time frame. Outbid notifications will not be received within five lots of any lot opening for live real-time internet bidding. All bids will be executed in a fair, competitive and confidential manner. While every effort is made to execute and honor bids, SAINT GEORGE GALLERIES LLC is not responsible for failure to execute a bid and is not liable for any losses incurred as a result of failure to execute a bid. If you are bidding live, real-time online at LelandLittle.com, please bid quickly as there may be a time delay in receiving the live bid. Whether bidding via absentee or real-time, a confirmation will be required to finalize your bid. All bids are time stamped. In case of identical bids, the first bid received will take precedence. Where appropriate, bids will be rounded down to the nearest amount consistent with the auctioneer?s bidding increments. SAINT GEORGE GALLERIES LLC BID LIMITS New participants with less than one year of purchase history with SAINT GEORGE GALLERIES LLC will be limited to a maximum of $5,000 in cumulative bids. Bidders may contact the front office for assistance with increasing their bid limit prior to the auction. A wire transfer deposit will be required. Domestic, U.S. bidders must request a bid limit increase 24 hours in advance of the auction. International bidders must request a bid limit increase 72 hours in advance of the auction. Wire transfer deposits must be received the business day prior to the auction. SAINT GEORGE GALLERIES LLC cannot be held liable for wire transfer deposits that are not received prior to the auction in order to satisfy the bid limit increase. LIVE INTERNET BIDS THROUGH THIRD-PARTY WEBSITE(S) Live internet bidding is available during the auction via third-party website(s). Please be advised that proper time is required to review and respond to registration inquiries received through third-party websites. Additional information may be required to proceed with registration approval, including a wire transfer deposit or auction references. Participants with limited purchase history will be subject to a bidding limit. Current bids on the internet will be executed on your behalf during the auction. Bids left on third-party websites are not presented to us or executed until a lot is offered real-time and the order in which they are received is not a factor. Each lot will open with the current high-bid received on the Saintgeorgegalleries.com website and bidding will progress from that point. SAINT GEORGE GALLERIES LLC cannot be held liable for live internet bids on a third-party website that are not sent, received, or executed by the administrator. If you are bidding live, real-time online through a third-party website, please bid quickly because there is a time delay in receiving live bids. RESTRICTED MATERIALS Please note that lots containing ivory or any other plant or animal material may be subject to regulations imposed by the Endangered Species Act by the United States Fish and Wildlife Department as well as other restrictions under federal, state and/or local law. Some countries prohibit the importation of property containing materials from endangered plant or animal species and prospective purchasers should familiarize themselves with relevant customs regulations prior to bidding if they intend to import these item(s) into another country. We also suggest that buyers in the United States check with their state's wildlife protection agency for any restrictions on the purchase, possession or sale of ivory or any other animal material. Please note that bidders in New York and New Jersey may not bid on any lots containing elephant ivory, mammoth ivory, or rhinoceros horn. Items containing ivory can only be shipped to an address in the United States. Bidders should check all applicable government wildlife restrictions prior to placing a bid. The buyer will be solely responsible for obtaining any necessary license or permits applicable to the sale or transport of the item(s) including any export or import license and/or certificates as well as any other required documentation. ESTIMATED WEIGHTS AND MEASUREMENTS Weights in catalogue description have been estimated through measurement and are to be used as approximate guidelines and not relied on as exact. Jewelry: Unless otherwise stated, all stones have been measured and graded in their settings. Metal weight given for jewelry includes stones unless stated otherwise. Buyers should be reminded that many colored gemstones have historically been treated to enhance their appearance. Lab reports will be referenced in catalogue descriptions. Silver: Weights provided for flatware services do not include knives and other pieces with silverplate or stainless portions. CLOCKS AND WATCHES No warranty that any clock or watch is in working order is given. Virtually all clocks and watches have been repaired in the course of their lifetime and may include parts not original to them. There is no guarantee to works or movement. Unless otherwise stated, weight includes works. OWNERSHIP Item ownership is conveyed immediately following the fall of the Auctioneer's hammer. While we try to handle and store items with great care, SAINT GEORGE GALLERIES LLC will have no liability for any loss or damage to an item after the hammer has fallen. SAINT GEORGE GALLERIES LLC is not liable for any damages incurred if assistance with loading is requested. Buyers are welcome to hire a professional shipping or moving company to assist with loading, packing, or shipping. LOADING Loading purchased items is the responsibility of the buyer. SAINT GEORGE GALLERIES LLC will, as a courtesy, assist with the loading following the sale, but this is done at the risk and responsibility of the buyer. Buyers who wish to arrange their own labor may contact the front office to schedule a time during normal business hours. SAINT GEORGE GALLERIES LLC will have no liability for any damage while providing loading assistance. STORAGE Unless prior arrangements are made, pick-up within 10 working days of the auction is required, or a $10.00 per lot per day storage fee will be charged. SAINT GEORGE GALLERIES LLC requires two business days notice to schedule pick up of wine. ABANDONED PROPERTY Unless prior arrangements have been made, any lot(s) remaining at the SAINT GEORGE GALLERIES LLC auction gallery more than 90 calendar days after the auction purchase date will be considered abandoned and no refunds will be given. SAINT GEORGE GALLERIES LLC is not obligated to notify the winning bidder of the abandoned lot(s). SHIPPING & PICK UP Winning bidders can either request in-house assistance or arrange shipping or pick up themselves after the winning bid invoice has been paid. Shipping In-House: Our in-house Shipping Department works in partnership with Packaging Express to fulfill shipments of most of the items we sell. When shipping through our in-house service, you authorize SAINT GEORGE GALLERIES LLC to act as your agent, to sign any such documents required, and agree to fully indemnify SAINT GEORGE GALLERIES LLC for any claims made by Packaging Express. Each item shipped in-house is carefully packed with the appropriate materials, following carrier guidelines, to provide safety in transit. There is a minimum shipping and handling charge of $25. In an effort to provide complete confidence and satisfaction in your delivery, all in-house shipments will include insurance for the full invoice value with a signature required for delivery. Carriers will include UPS and FedEx. Please be advised that SAINT GEORGE GALLERIES LLC does not automatically ship items. If shipping arrangements cannot be completed online, please contact the front office for assistance. We respond to each quote request in the order in which it was received. Shipping quotes are valid for 15 days. We cannot combine invoices for shipment, the quotes are prepared on a per invoice basis. Coordinating your own Shipping or Pick Up: When arranging shipping or pick up through another vendor or third-party of your choice, we require that you complete our Authorized Release Form, which is available online. This form authorizes us to release your purchased items to the requested party. We will not release your lot(s) to any shipping vendor or third-party until we have received this form and payment has been made in full. For non-Delaware residents, please confirm that your authorized party is a certified transportation vendor or that you have a tax exemption form on file. Without these certifications, SAINT GEORGE GALLERIES LLC will need to include Delaware sales tax on your invoice. Please note that shipment or pick up is the sole responsibility of the buyer. If you reside in a state or country that has import restrictions or regulations, it is your responsibility to obtain appropriate licenses to ship your purchased items (see the restricted materials section for more detail). All packing, handling, shipping, and delivery services are performed at the sole risk of the buyer. SAINT GEORGE GALLERIES LLC assumes no legal or financial responsibility and is free from all liability associated with fulfilling your release request. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN SAINT GEORGE GALLERIES LLC AND YOU. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. CONTROLLING LAW AND JURISDICTION These Terms and any action related thereto will be governed by the laws of the State of DELAWARE without regard to its conflict of law?s provisions. The exclusive jurisdiction and venue of any action to prevent the actual or threatened infringement, misappropriation or violation of a party?s copyrights, trademarks, trade secrets, patents or other intellectual property rights will be the state and federal courts located in the State of DELAWARE and each of the parties hereto waives any objection to jurisdiction and venue in such courts. ENTIRE AGREEMENT These Terms and any additional terms and conditions presented to you governing the bidding functionality of the Site and Services constitute the entire and exclusive understanding and agreement between SAINT GEORGE GALLERIES LLC and you regarding the Site, Services and Collective Content, and these Terms supersede and replace any and all prior oral or written understandings or agreements between SAINT GEORGE GALLERIES LLC and you regarding the Site, Services and Collective Content. ASSIGNMENT You may not assign or transfer these Terms, by operation of law or otherwise, without BIDIT Auctions? prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. SAINT GEORGE GALLERIES LLC may assign or transfer these Terms, at its sole discretion, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns. NOTICES Any notices or other communications permitted or required hereunder, including those regarding modifications to these Terms, will be in writing and given: (i) by SAINT GEORGE GALLERIES LLC via email (in each case to the address that you provide); or (ii) by posting to the Site. For notices made by e-mail, the date of receipt will be deemed the date on which such notice is transmitted. DISPUTE RESOLUTION You and SAINT GEORGE GALLERIES LLC agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Site or Services (collectively, ?Disputes?) will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party?s copyrights, trademarks, trade secrets, patents or other intellectual property rights. You acknowledge and agree that you and SAINT GEORGE GALLERIES LLC are each waiving the right to a trial by jury or to participate as a plaintiff or class User in any purported class action or representative proceeding. Further, unless both you and SAINT GEORGE GALLERIES LLC otherwise agree in writing, the arbitrator may not consolidate more than one person?s claims, and may not otherwise preside over any form of any class or representative proceeding. If this specific paragraph is held unenforceable, then the entirety of this ?Dispute Resolution? section will be deemed void. Except as provided in the preceding sentence, this ?Dispute Resolution? section will survive any termination of these Terms. GENERAL The failure of SAINT GEORGE GALLERIES LLC to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of BIDIT Auctions. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise. If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect. We may change these Terms of Use from time to time, at any time without notice to you, by posting such changes on the SAINT GEORGE GALLERIES LLC Website. We highly suggest you periodically check the Terms of Use. It is your responsibility to do so.
