IMPORTANCE OF TERMS Please take the time to read the following set of terms and conditions for the auction. By obtaining a Bidder Number, you acknowledge that you have read and agree to these terms and conditions. AUCTIONEER Nathan Raymond, NCAL#10437. The auctioneer always reserves the right to withdraw or bid on a lot for any reason he deems appropriate, including any lots that may or may not have a reserve, or if there is a lack of bidding interest. Bid approval and acceptance on any bidding platform is at the sole discretion of the auctioneer. CONDITIONS OF SALE RAYMOND AUCTIONS AS AGENT The lots listed in this catalogue will be offered by Raymond Auctions (an affiliation with Purple Creek, Inc.) (hereinafter ?RA?) as owner or as agent for consignor(s) subject to the following terms and conditions. By bidding at auction you agree to be bound by these Conditions of Sale. BEFORE THE SALE CONDITION OF ITEMS BEING AUCTIONED Raymond Auctions. (?RA?) has endeavored to accurately describe the items being auctioned, but all property offered for auction is strictly "as - is" "where - is" with all faults. All sales are final and no refunds are given. The sales records and recordings shall be conclusive. It is the bidder's responsibility to determine the exact condition/authenticity of each item. No statement in this catalogue or by representatives of RA shall be considered as a warranty or assumption of liability. Written and oral descriptions given by RA staff members are given as a courtesy to a client, are only an opinion, and should not be considered as a guarantee of age, composition, or authenticity. The absence of a condition statement does not imply that the lot is in perfect condition or completely free from wear and tear or imperfections or the effects of aging. Photographic images are provided to assist a bidder in making an additional assessment of condition. By bidding, you signify that you have either closely examined the items, have chosen not to examine them, or have hired an independent agent to examine the item(s) for you. Condition reports are available via the online catalog or by contacting the RA office. The online catalogue may include full descriptions, condition reports, dimensions, and image(s) for each lot. RA and its consignor(s) make no warranty or representation, express or implied, that the purchaser will acquire any copyright or reproduction rights to any lot sold. RA expressly reserves the right to reproduce any image of the lots sold in this catalogue. Without limiting the generality regarding the condition of items being auctioned, the following additional reservations apply to specific categories of items being auctioned: Weights in catalogue description have been estimated through industry accepted practices of measurement and are to be used as approximate guidelines and not relied on as exact. Unless otherwise stated, all gemstones have been measured and graded in their settings by an internal, GIA GG, staff member. Metal weight given for jewelry includes stones unless stated otherwise. Buyers should be reminded that most colored gemstones have historically been treated to enhance their appearance, many which are considered acceptable within the trade. Lab reports if supplied will be referenced in catalogue descriptions. Weights provided for flatware services do not include knives and other pieces with silverplate or stainless portions. No warranty that any clock or watch is in working order is given. Virtually all clocks and watches have been repaired in the course of their lifetime and may include parts not original to them. There is no guarantee to works or movement. Unless otherwise stated, weight includes internal clock works. DURING THE SALE RA will endeavor to execute all bids in a fair, competitive and confidential manner. While every effort is made to execute and honor bids, RA is not responsible for failure to execute a bid and is not liable for any losses incurred as a result of failure to execute a bid. If you are bidding real-time online, please bid quickly as there may be a time delay in receiving the real-time bid. Whether bidding real-time, a confirmation will be required to finalize your bid. All bids are time stamped. In case of identical bids, the first bid received will take precedence. Where appropriate, bids will be rounded down to the nearest amount consistent with the auctioneer?s bidding increments. REFUSAL OF ADMISSION RA has the right, in its sole discretion, to refuse participation in any auction and to reject any bid. REGISTRATION BEFORE BIDDING A prospective buyer must complete and sign a registration form and provide identification before bidding. RA may require bank or other financial references. BIDDING AS PRINCIPAL When making a bid, a bidder is accepting personal liability to pay the purchase price, including the buyer's premium, all applicable taxes and all other applicable charges. ONLINE BIDS The Online-Only Auction has a soft close; any lot that receives a bid within ten (10) seconds of the designated closing time, during the real-time internet bidding, will have its bidding time extended anywhere from six to ten (6-10) seconds after the last bid received. Any and all lots will close either at the designated closing time or at such point that it has not received an advanced bid before the timer expires. The exact length of time the bidding will be extended is automatically determined and applied by the bidding platform. The variance in time extended is due to the constraints of the network, and hardware, and is not within the control of RA. As such, RA is not responsible for the exact closing time for individual lots. RA will use reasonable efforts to carry out online bids and does not accept liability for equipment failure, inability to access the internet, or software malfunctions related to the execution of online bids. RESERVES Some lots in the sale are subject to a reserve which is the confidential minimum price below which such lot will not be sold. Reserves are agreed upon with consignors or, in the absence thereof, determined at the absolute discretion of RA. RA?S DISCRETION RA has the right at its absolute and sole discretion to refuse any bid, to advance the bidding in such a manner as it may decide, to withdraw any lot, and in the case of error or dispute, and whether during or after the sale, to determine the successful bidder, to continue the bidding, to cancel the sale or to reoffer and resell the item in dispute. If any dispute arises after the sale, RA?s sale record is conclusive. SUCCESSFUL BID The highest bidder acknowledged by RA will be the purchaser. In the event of a dispute between bidders, RA has final discretion to determine the successful bidder or to reoffer the lot in dispute. If any dispute arises after the sale, the RA sale record shall be conclusive. Title passes upon the fall of RA's hammer to the highest acknowledged bidder subject to the Conditions of Sale set forth herein, and the bidder assumes full risk and responsibility. Bidders are responsible for any and all activity, bids, and purchases involving their account. Once a bid has been placed, it cannot be lowered or deleted by the bidder. RA and its consignors shall not be held liable for negligent bidding activity. Bidder agrees to keep its username and password confidential. AFTER THE SALE OWNERSHIP Item ownership is conveyed immediately following the fall of the Auctioneer's hammer. Items bid on or purchased through RA cannot be re-offered via any market until full payment has been received and property has been shipped to winning buyer. While we try to handle and store items with great care, RA will have no liability for any loss or damage to an item after the hammer has fallen. HAMMER PRICE / BUYER'S PREMIUM In addition to the hammer price, the buyer agrees to pay RA a buyer's premium and the applicable sales tax added to the final total. RA's premium structure for RA auction customers is: twenty percent (20%) of the successful hammer price on each lot sold. PAYMENT Invoices are sent to the registered email address of the bidder at the conclusion of the auction after sales records have been verified. Payment is due immediately upon receipt of invoice, and in all events winning bids must be paid no later than five (5) business days following the auction date. Payment may be made by cash, approved certified funds, wire transfer, approved check, PayPal, Visa or MasterCard with a domestic U.S. billing address, except as limited herein. If paying by approved check, RA reserves the right to hold the item(s) until the check has cleared. Federal law requires we report payments above $10,000 made by cash or certain other cash equivalents, such as money orders. Credit card and PayPal payments are subject to a $5,000 limit. International (non-domestic United States) bidders will be required to pay by wire transfer. Wire transfer fees will be incurred by the buyer. At the auctioneer's discretion, certain lots will be required to be paid for by wire transfer. The purchaser agrees to pay RA a handling charge of $50 for any check dishonored by the drawee. If a buyer fails to contact RA within five (5) business days following the auction, the credit card used to secure the bid will be charged the amount of the invoice. RA will contact buyers to pursue payment if necessary; however, payment resolution is the responsibility of the invoiced buyer. Non-payment issues will be reported to third-party bidding platforms and will result in suspension of the buyer?s bidding privileges. RA reserves the right to recover the costs and fees necessary to secure payment from the buyer prior to providing the purchased items to the buyer. Should timely payment not be received in the manner requested or should the buyer be suspected of fraudulent registration, the buyer will be in breach of these terms and RA reserves the right to pursue all legal remedies, including damages for RA?s lost revenues or commissions. SALES TAX RA collects and remits applicable sales tax on all items purchased by residents of North Carolina and certain other states, as and where required by law unless a buyer provides a valid certificate of exemption from sales tax. Buyers from North Carolina will pay North Carolina?s sales tax. For purchases shipped outside North Carolina, buyers will pay any sales tax RA is required to collect for another state unless that buyer provides a valid certificate of exemption. Please note that RA may be required to identify to state tax authorities any buyer for whom it does not collect sales tax, and further that such a buyer may be liable to pay applicable use tax. NON PAYMENT If RA does not receive payment in full, in good cleared funds, within five (5) business days following the sale, RA is entitled in its absolute discretion to exercise one or more of the following measures, in addition to any additional actions available to us by law: a.) to impose a late charge of one and a half percent (1.5%) per thirty (30) days of the total purchase price; b.) to hold the defaulting buyer liable for the total amount due and to begin legal proceedings for its recovery together with interest, legal fees and costs to the fullest extent permitted under applicable law; c.) to cancel the sale; d.) to resell the property publicly or privately under such terms as RA finds appropriate, to resell the property at public auction without reserve, and with the purchaser liable for any deficiency, cost, including handling charges, the expenses of both sales, RA?s commission on both sales at RA?s regular rate, all other charges due hereunder and incidental damages. In addition, a defaulting purchaser will be deemed to have granted RA a security interest in, and RA may retain as collateral security for such purchaser's obligations to RA, any property in RA?s possession owned by such purchaser. At our option, payment will not be deemed to have been made in full until RA has collected funds represented by checks, or in the case of bank or cashier's checks, RA has confirmed their authenticity; e.) to not allow any bids at any upcoming auction by or on behalf of the buyer; g.) to take other action as RA finds necessary or appropriate. RA also shall have the right to withdraw any item from sale or to rescind the sale of any item if RA, in RA?s sole discretion, determines that the offering of the item for sale or the sale of the item has subjected or may subject RA or any of its consignors to any liability. PACKING & SHIPPING RA ships winning bidders items with our in-house shipping department after the winning bid invoice has been fully paid and cleared within five (5) business days. When shipping through our in-house service, you authorize RA to act as your agent, to sign any such documents required, and agree to fully indemnify RA. Each item shipped in-house is carefully packed with the appropriate materials, following carrier guidelines, to provide safety in transit. In an effort to provide complete confidence and satisfaction in your delivery, all in-house shipments will include insurance for the full invoice value with a signature required for delivery. Any additional insurance desired is the responsibility of the buyer. RESTOCKING FEE RA may, at their discretion, select items to be subject to a restocking fee of twelve percent (12%) of the hammer price (not including the buyer's premium) if returned or refused delivery. RA will disclose if an item is subject to a restocking fee in that item's listing, at the time the auction becomes live. Buyer is responsible for all costs associated with return shipping, including RA required shipping insurance (insurance coverage must be equal to or greater than the high estimate provided for the item(s), given in the item(s) listing(s)). LIABILITY CONDITION REPORTS RA is not responsible for the correctness of any statement of any kind concerning any lot including any accompanying 3rd party evaluations or reports, whether written or oral, nor for any other errors or omissions in description or for any faults or defects in any lot. Neither the seller, RA, nor seller or RA?s officers, employees or agents, give any representation, warranty or guarantee or assume any liability of any kind with respect to any lot with regard to merchantability, fitness for a particular purpose, description, size, quality, condition, attribution, authenticity, rarity, importance, medium, provenance, exhibition history, literature or historical relevance. Any warranty of any kind whatsoever is excluded to the fullest extent permitted by law. PURCHASED LOTS If for any reason a purchased lot cannot be delivered in the same condition as at the time of sale, or should any purchased lot be stolen, mis-delivered or lost prior to delivery, RA shall not be liable for any amount in excess of that paid by the purchaser. LEGAL INTERPRETATIONS This document will be interpreted under the laws of the State of North Carolina and the United States Code. DISPUTES Any and all disputes resulting or arising in connection with this sale shall be heard in the General Court of Justice of Wake County, North Carolina, as the sole and exclusive venue. In any such action, the prevailing party shall be entitled to an award of its costs and expenses, including reasonable attorneys? fees, incurred in connection with such action. DISCRETION Any and all of the conditions may be waived or modified at the sole discretion of RA at any time.
