TERMS OF SALE Firenze Casa d'Aste Srl, based in Florence, Via Ricasoli 16r, registered to the REA of Florence No. FI-586850, VAT No. 05933590480, operates under the name Gonnelli Casa d'Aste, registered trademark of the Libreria Antiquaria Gonnelli. 1. Firenze Casa d'Aste srl (henceforth referred to as 'Gonnelli Casa d'Aste') in carrying out its sales activities acts as the exclusive agent in its own name and on behalf of each Seller whose name is transcribed in the proper registers of Public Security held at Gonnelli Casa d'Aste. The sale must be considered as occurring between the Seller and Buyer (hereinafter called 'Winner'); as a consequence, Gonnelli Casa d'Aste assumes no liability beyond those in descendants from its holding office. 2. Sales are made to the highest bidder, to be considered for cash. 3. Fees for rights to auction due to Gonnelli Casa d'Aste by the Winner amount to 21% of the hammer price and include rights to auction and VAT. 4. According to Legislative Decree No. 118/2006, the 'Right of Action', i.e. the right of the living Author of figurative works and manuscripts, or his heirs, if the Author is dead less than 70 years before, to receive a fee calculated as a percentage on sale price of his original works on the occasion of sales subsequent to the first. This right will be at the buyer's expense and will be paid by Gonnelli Casa d'Aste to SIAE under the terms established by law. 5. The Auction will be preceded by an exhibition of the lots in which at least one responsible from Gonnelli Casa d'Aste will be available for any clarification. The exhibition is designed to allow a review of the conservation status and quality of objects and clear up any errors and/or inaccuracies in which we were incurred in the compilation of the catalogue. The descriptions in the catalogue can be integrated at the request of our clients through the delivery of written reports (s.c. condition reports). 6. Any complaints about the duties listed in the catalogue and on the quality of the lots awarded will be moved by registered mail with return receipt to be sent no later than 10 days from the date of award. Where the contestation is founded on the basis of documents which in any case must be produced at the Winner's expense, Gonnelli Casa d'Aste will be held exclusively for the repayment of sums already received, without interest, upon return of awarded goods without any further obligation to compensate in any way. 7. As for auctions of books, complaints about damage to binding, stains, moth holes, charts or tables trimmed and any other defect which affects the completeness of the text and/or illustrative apparatus, lack of indexes of tables, white sheets, ads supplements and appendices following the publication of the work will not be accepted. In addition, no complaint will be accepted on the books not described in the catalogue. As for auctions of paintings, drawings and prints any statement as to authorship, attribution, origin, date, age, provenance and condition is a statement of opinion of Gonnelli Casa d'Aste and is not to be taken as a statement of fact. 8. Those wishing to participate in an auction must first complete and sign a registration form, indicating all their personal information and possibly their bank references. These data will be treated in compliance with current legislation on the protection of the confidentiality of Personal Data (s.c. Privacy), as information that will be delivered to participants. Gonnelli Casa d'Aste reserves the right to refuse bids from persons not registered and identified, or that failed to submit appropriate bank references. Gonnelli Casa d'Aste deemed solely responsible for paying the Winner and transfers to third parties of batches already awarded are not accepted. Therefore, participation in the auction and on behalf of third parties must be notified in advance. 9. Gonnelli Casa d'Aste may accept purchase commissions of lots for sale on the precise mandate fully completed in each part (written bids or telephone participations). In this case the Auctioneer will increase the bid on the basis of instructions received. - Written bids are valid provided they reach Gonnelli Casa d'Aste within 24 hours before the auction and are sufficiently clear and complete. - Telephone participations are valid provided they are confirmed in writing before the auction. The lots will be purchased at the lowest price permitted by other bids on the same lots and the recorded reserves. In case of tenders for the same amount, bid received first will prevail. 10. During the Auction the Auctioneer in his discretion may vary the order of sale, match and/or separate lots, raise the biddings in his discretion, reformulate an offer to sell for a lot if he has reason to believe that there is a error or dispute and take any measure he considers appropriate in the circumstances; Gonnelli Casa d'Aste reserves, in addition, not to award and/or to withdraw the lots for which the tender bids do not reach the minimum reserve price agreed with the Seller. 11. Ownership of lots goes to the Winner only after payment in full of the hammer price and the commissions for the rights of the auction. Payment must be made in Euros and the following forms of payment are accepted: a) cash, for values that do not exceed 5,000 €; b) credit card, with a planned increase of 1,20% of the total amount due; c) non-transferable bank drafts made payable to Firenze Casa d'Aste Srl; d) by bank transfer to Firenze Casa d'Aste Srl, characterized by the following IBAN bank account: IT 22 N 03268 0280 0052877341 060 - SWIFT: SELBIT2BXXX When paying by check or bank transfer, payment to be made subject to the crediting success. 12. Payment of the total due to Gonnelli Casa d'Aste must be made within seven days from the Award. 13. The lots purchased and paid for must be picked up or can be dispatched after filling out the shipment form within seven days. In case of shipping all costs, except for certain insurance amounts will be at the Winner's expense. In the event that after the seventh day the Winner has not taken steps to withdraw the lots, Gonnelli Casa d'Aste will be granted of all rights of custody and it will be exempt from any liability in relation to the housing and the possible deterioration of objects. The daily cost of storage, for the seven days following the expiration date, amounts to 10.00 € per day. After this period the lots will be delivered to external warehouses with costs and risks borne by the buyer and its following billing, and Gonnelli Casa d'Aste, being anyhow subject to compensation for further damages, can proceed: a) to seek enforcement of the obligation to purchase; b) to dispose of the lot by private treaty, with the right to claim any price differences from the Winner; c) to sell in a next auction the goods to the detriment of the Winner, holding as a penalty any advance payments received; d) to act solely for the recovery of a penalty equal to 25% of the hammer price. 14. (TI): being lots marked with this symbol under the system of temporary import on Italian territory by a foreign seller are not subject to any restrictive measure on the part of Italian law. For other lots, possibly subject to notification by the State, the Winners will be bound to comply with all provisions of the January 22, 2004 Legislative Decree No. 42. The export of objects by Winners resident and not resident in Italy will be governed by that legislation and by the customs laws, currency and tax in force. Gonnelli Casa d'Aste assumes neither liability to the Winners in regards to possible restrictions on the export of the awarded lots nor with regard to any licenses or certificates that the Winner should obtain accordingly to Italian law. The Winner, in case of exercising the right of first refusal on the part of the State, can not claim from Gonnelli Casa d'Aste and/or the Auctioneer any reimbursement of any interest on the price of the auction commission already paid. 15. This regulation is automatically accepted by all those who contribute to the auction. Any controversy will apply Italian law and the Court of Florence will be exclusively responsible, without prejudice to Gonnelli Casa d'Aste from acting before the court of the defendant. ------------- CONDIZIONI DI VENDITA Firenze Casa d'Aste Srl, con sede in Firenze,Via Ricasoli n.16r, capitale sociale Euro 30.000, iscritta al REA di Firenze al n.FI-586850, p. IVA e C.F. n. 05933590480 opera con il nome Gonnelli Casa d'Aste, marchio registrato di proprietà della Libreria Antiquaria Gonnelli. 1. Firenze Casa d'Aste srl (qui di seguito definita 'Gonnelli Casa d'Aste') nello svolgimento della sua attività di vendita agisce quale mandataria in esclusiva in nome proprio e per conto di ciascun Venditore il cui nome viene trascritto negli appositi registri di Pubblica Sicurezza tenuti presso Gonnelli Casa d'Aste. La vendita deve considerarsi intervenuta tra il Venditore e l'Acquirente (qui di seguito definito 'Aggiudicatario'); ne consegue che Gonnelli Casa d'Aste non assume in proprio alcuna responsabilità oltre quelle discendenti dal mandato. 2. Le vendite si effettuano al maggior offerente e si intendono per contanti. 3. Le commissioni per i diritti d'asta dovute a Gonnelli Casa d'Aste dall'Aggiudicatario sono pari al 21% del prezzo di aggiudicazione e sono comprensive di diritti di asta e di IVA. 4. Ai sensi del D. Lgs. n. 118/2006 sarà applicato il cosiddetto 'Diritto di Seguito', ossia il diritto dell'Autore vivente di opere figurative e di manoscritti ovvero dei suoi eredi, ove l'Autore sia deceduto da meno di 70 anni, a percepire un compenso calcolato in forma percentuale sul prezzo di vendita degli originali delle proprie opere in occasione delle vendite successive alla prima. Tale diritto sarà a carico del compratore e sarà versato da Gonnelli Casa d'Aste alla SIAE in base a quanto stabilito dalla legge. 5. L'Asta sarà preceduta da un'esposizione dei lotti durante la quale almeno un responsabile di Gonnelli Casa d'Aste sarà a disposizione per ogni chiarimento. L'esposizione ha lo scopo di permettere di esaminare lo stato di conservazione e la qualità degli oggetti e chiarire eventuali errori e/o inesattezze in cui si fosse incorsi nella compilazione del catalogo. Le descrizioni in catalogo possono essere integrate su richiesta dei clienti mediante la consegna di rapporti scritti (c.d. condition reports). 6. Eventuali contestazioni circa le attribuzioni riportate in catalogo nonché sulla qualità dei lotti aggiudicati dovranno essere mosse a mezzo raccomandata con ricevuta di ritorno da inviare entro e non oltre 10 giorni dalla data d'aggiudicazione. Nel caso in cui la contestazione risultasse fondata, sulla base della documentazione che in ogni caso dovrà essere prodotta a cura e spese dell'Aggiudicatario, Gonnelli Casa d'Aste sarà tenuta esclusivamente al rimborso delle somme già percepite senza interessi, dietro restituzione dei beni aggiudicati, senza alcun ulteriore obbligo di risarcimento a nessun titolo. 7. Per quanto riguarda le aste di libri, non saranno accettate contestazioni relative a danni alla legatura, macchie, fori di tarlo, carte o tavole rifilate e ogni altro difetto che non leda la completezza del testo e/o apparato illustrativo; mancanza di indici di tavole, fogli bianchi, inserzioni supplementi e appendici successive alla pubblicazione dell'opera. Non saranno inoltre accettate contestazioni relative a libri non descritti in catalogo. Per quanto riguarda le aste di dipinti, disegni e stampe Gonnelli Casa d'Aste non risponde delle attribuzioni delle opere ad un artista, ad una scuola, ad un paese o a un periodo, in quanto sono fornite a mero scopo indicativo e riflettono solo l'opinione della casa d'aste stessa. 8. Coloro che desiderano partecipare ad un'asta dovranno preventivamente compilare e sottoscrivere una scheda di partecipazione, indicando tutti i loro dati personali ed eventualmente le loro referenze bancarie. Tali dati saranno trattati in conformità alla vigente normativa sulla tutela della riservatezza dei dati personali (c.d. Privacy), come da informativa che verrà consegnata ai partecipanti. Gonnelli Casa d'Aste si riserva la facoltà di rifiutare le offerte provenienti da persone non registrate ed identificate o che non abbiano presentato adeguate referenze bancarie. Gonnelli Casa d'Aste riterrà unicamente responsabile del pagamento l'Aggiudicatario e non sono accettati trasferimenti a terzi dei lotti già aggiudicati. Pertanto la partecipazione all'asta in nome e per conto di terzi dovrà essere preventivamente comunicata. 9. Gonnelli Casa d'Aste può accettare commissioni d'acquisto dei lotti in vendita su preciso mandato compilato interamente in ogni sua parte (offerte scritte o partecipazioni telefoniche). Nel qual caso il Direttore della Vendita effettuerà rilanci sulla base delle istruzioni ricevute. - Le offerte scritte sono valide purché pervengano a Gonnelli Casa d'Aste entro 24 ore prima dell'inizio dell'Asta e siano sufficientemente chiare e complete. - Le partecipazioni telefoniche sono valide purché siano confermate per iscritto prima dell'asta. I lotti saranno acquistati al prezzo più conveniente consentito da altre offerte sugli stessi lotti e dalle riserve registrate. In caso di offerte del medesimo importo prevarrà l'offerta ricevuta prima. 10. Durante l'Asta il Direttore della Vendita a sua discrezione potrà variare l'ordine della vendita, abbinare e/o separare lotti, formulare rilanci a sua discrezione, riformulare un'offerta di vendita per un lotto qualora abbia motivi per ritenere che ci sia un errore o controversia ed adottare qualsiasi provvedimento ritenga adatto alle circostanze; Gonnelli Casa d'Aste si riserva, inoltre, di non procedere all'Aggiudicazione e/o di ritirare i lotti per i quali le offerte d'asta non raggiungano il prezzo minimo di riserva concordato con il Venditore. 11. La proprietà dei lotti passa all'aggiudicatario solo previo pagamento integrale del prezzo di aggiudicazione e delle commissioni per i diritti d'asta. Il pagamento deve essere effettuato in Euro e sono accettate le seguenti forme di pagamento: a) contanti, per valori che non eccedono i 5.000 €; b) carta di credito, con una maggiorazione prevista dell'1,20% del totale dovuto; c) assegni circolari non trasferibili intestati a Firenze Casa d'Aste Srl; d)tramite bonifico bancario intestato a Firenze Casa d'Aste Srl, contraddistinto dalle seguenti coordinate bancarie: IBAN: IT 22 N 03268 0280 0052877341060 - SWIFT: SELBIT2BXXX In caso di pagamento con assegni o bonifico bancario, il pagamento s'intende effettuato salvo il buon esito dell'accredito. 12. Il pagamento del totale dovuto a Gonnelli Casa d'Aste deve essere effettuato entro sette giorni dall'Aggiudicazione. 13. I lotti acquistati e pagati devono essere ritirati o possono essere spediti previa compilazione dell'apposito modulo di spedizione entro sette giorni. In caso di spedizione tutti i costi, tranne l'assicurazione per determinati importi, saranno a carico dell'Aggiudicatario. Nel caso in cui, decorsi i sette giorni, l'Aggiudicatario non abbia provveduto al ritiro dei lotti spetteranno a Gonnelli Casa d'Aste tutti i diritti di custodia e la stessa sarà esonerata da qualsiasi responsabilità in relazione alla custodia e all'eventuale deterioramento degli oggetti. Il costo giornaliero di magazzinaggio, per i sette giorni successivi alla scadenza, ammonta 10,00 € per ogni giorno. Scaduto questo termine i lotti potranno essere consegnati a magazzini esterni con spese e rischi a carico dell'acquirente e relativa fatturazione e Gonnelli Casa d'Aste, fatto comunque salvo il risarcimento dei maggiori danni, potrà procedere: a) ad agire per ottenere l'esecuzione forzata dell'obbligo di acquisto b) ad alienare il lotto a trattativa privata, con diritto di esigere dall'Aggiudicatario eventuali differenze di prezzo; c) a vendere in una asta successiva in danno dell'Aggiudicatario, trattenendo a titolo di penale eventuali acconti ricevuti. d) ad agire esclusivamente per il recupero di una penale pari al 25% del prezzo di aggiudicazione. 14. (TI): I lotti contrassegnati da tale simbolo, essendo in regime di temporanea importazione sul territorio italiano da parte di un venditore estero, non sono soggetti ad alcun provvedimento restrittivo da parte della normativa italiana. Per gli altri lotti, eventualmente sottoposti alla notifica da parte dello Stato, gli Aggiudicatari saranno tenuti all'osservanza di tutte le disposizioni di cui al D. Lgs. 22 Gennaio 2004 n. 42. L'esportazione di oggetti da parte di Aggiudicatari residenti e non residenti in Italia sarà regolata dalla suddetta normativa nonché dalle leggi doganali, valutarie e tributarie in vigore. Gonnelli Casa d'Aste non assume alcuna responsabilità nei confronti degli Aggiudicatari in ordine ad eventuali restrizioni all'esportazione dei lotti aggiudicati né in ordine ad eventuali licenze od attestati che l'Aggiudicatario di un lotto debba ottenere in base alla legge italiana. L'Aggiudicatario, in caso di esercizio del diritto di prelazione da parte dello Stato, non potrà pretendere da Gonnelli Casa d'Aste e/o dal Venditore alcun rimborso di eventuali interessi sul prezzo delle commissioni d'asta già corrisposte. 15. Il presente regolamento viene accettato automaticamente da tutti coloro che concorreranno alla vendita all'asta. Per ogni controversia si applicherà la legge italiana e sarà competente in via esclusiva il Foro di Firenze, fatta salva la facoltà di Gonnelli Casa d'Aste di agire innanzi al foro del convenuto.
