However, if the auctioneer mistakenly declares an item sold, Distinctive Coins shall be entitled, at its option, to invalidate the sale and re-offer the item in question. BID REJECTION: Distinctive Coins may, at its sole discretion, reject any bid and exclude any person at any time, before, during or after the auction, and award auctioned items to the highest accepted bidder. Distinctive Coins may withdraw items from the auction at any time, whether before, during or after the action, without incurring any liability for doing so. Removal of any product from its protective casing or alteration of any coin holder waives all rights concerning the product contained therein and will not be subject to return under any circumstances. PAYMENTS: All internet bidders to pay the buyer?s premium equal to eighteen percent (18%) of hammer price of each item they purchase. Payment of the winning bid plus buyer?s premium, shipping and handling, and any applicable taxes will be made at the time the auction is reconciled, and invoices have been submitted. We accept bank wire transfers, personal or company checks, cashier?s checks, money orders, PayPal, Visa, MasterCard, Discover and American Express cards. Distinctive Coins may, at its discretion, require a bank transfer for invoices above $7,500. Our payments system offers safe and reliable credit card transactions. For online sales, you should receive an email invoice within 48 hours after the auction. The email will contain a link for making an immediate secure online payment. Where payment is made by check, money order, PayPal, bank wire or cashier?s check, Distinctive Coins reserves the right to hold the items purchased until payment has cleared. If a fire, theft or other circumstances prevent us from delivering the items to the purchaser, our liability shall be limited to the amount actually paid by that purchaser for the items. In the event Distinctive Coins, using its discretion, agrees to a refund, a 15% restocking fee of the hammer price plus the buyer?s premium shall be charged. The purchaser shall pay for all shipping, handling and insurance as well as return shipping. Bidder further agrees that neither the delivery of an item after the date desired or expected by bidder or loss of an item by a third-party delivery entity gives rise to a cause for a chargeback claim, and the bidder specifically agrees to refrain from the filing of any such claim. BUYERS PREMIUM: All bidders agree to pay a buyer?s premium of 18% of the hammer price of each item they purchase. UNPAID BALANCE & FAILED PAYMENTS: If you are the winning Bidder and do not pay your invoice within seven (7) days of the sale date, you will be in breach of the contract and forfeit the right to the ownership of products and charged a restocking fee of twenty-five percent (25%) of your invoice total. Distinctive Coins reserves the right to report such non-payment to credit and collection agencies. Additionally, you will be banned from all future Distinctive Coins Auctions and be reported to the auction house and may be subject to further actions. FAILURE TO MEET TERMS AND CONDITIONS: Once the item is sold or the online auction expires, ownership of the auctioned items shall transfer to the winning bidder recognized by the auctioneer and bidder shall pay the full Purchase Price that is required to be paid. All claims and disputes shall be made within 14 days of the sale. If the bidder fails to comply with any applicable terms and conditions set forth herein, we may cancel the sale. If the sale is cancelled, Distinctive Coins will charge a restocking fee of twenty-five percent (25%) of your invoice total, retain all amounts paid by the purchaser and the items may be publicly auctioned with or without reserve, while the purchaser will be responsible for the shortfall expenses such as handling fees, the costs of and our commissions on both sales at our rates, legal fees, incidental and other expenses applicable hereunder. Furthermore, Distinctive Coins may deny future bids by the buyer or require a deposit on such future bids. TAXES, DUTIES & CUSTOMS: The bidder is solely responsible for payment of all taxes, duties, and customs fees prior to delivery unless alternative arrangements are made in writing and pre-approved by Distinctive Coins. Any additional taxes, duties, broker or customs fees which are not included on our invoice are the buyer?s responsibility. Any buyer with a valid resale license will need to provide appropriate documentation for removal of state sales tax prior to payment. PRODUCT SHIPPING & HANDLING / PICK UP: All items will be shipped. RELEASE & LIMITATIONS ON LIABILITY Any possible liability of Distinctive Coins for any breach, act or omission shall be limited by the Purchase Price paid by the buyer and shall not include any indirect, incidental or consequential damages, such as for loss or profit or revenue, the cost of obtaining alternative property, claims of buyer?s customers or otherwise, whether arising in contract, tort, negligence, strict liability or otherwise, in relation to auctioned items, their purchase, sale or delivery, or in relation to any acts or omissions on the part of Distinctive Coins. The bidder hereby agrees to indemnify and hold Distinctive Coins and the consignor harmless from and against any losses, claims, obligations, demands, liabilities, costs, damages, compensation and expenses whether direct or indirect, present or future, foreseen or unforeseen, assessed or incurred by reason of or resulting from any defects, whether latent or otherwise, or the physical condition of any items purchased, and the bidder hereby waives the right to assert such claims. DISPUTES: In the event of a dispute between the bidder and Distinctive Coins, the rules and procedures described herein shall apply. If either party claims that the other party is in default under this agreement, the dispute shall be submitted to arbitration in the State of Illinois. Distinctive Coins shall appoint an impartial arbitrator and the arbitration process shall be initiated by either party?s notice served on the other party by certified mail. Non-participation in the arbitration shall be deemed a default. Where arbitration is initiated at the request of a bidder, that bidder shall be responsible for the arbitrator?s fees up to the maximum amount allowed by law. Each party shall present its case (within a limit of one hour per party) to the arbitrator. By placing a bid, the bidder agrees to waive its right to have any disputes resolved in a court of law. The bidder acknowledges arbitrator?s complete jurisdiction over the dispute and the right to issue a binding award. Arbitration fees shall be covered by the prevailing party or otherwise, as the arbitrator deems fit. The award shall be final, and the prevailing party shall be fully reimbursed for the fees actually paid in the dispute. By taking part in a Distinctive Coins auction, the bidder expressly agrees that the dispute resolution procedure described above shall be the only method of disputes resolution between the bidder and Distinctive Coins. In particular, the bidder agrees not to defame, slander or submit a dispute on or with any online venue, credit card company or other third party, and specifically the bidder shall not initiate a credit card chargeback dispute based on any claim. The bidder shall pay to Distinctive Coins a minimum of $250 plus hourly rates and costs in the event any such chargeback dispute is initiated due to the administrative burden involved. If the bidder violates these rules of dispute resolution in order to have his application to bid in a Distinctive Coins auction considered, the bidder shall confess to fraud against Distinctive Coins and shall be liable for all the resulting losses or damages, including time charges. If any provision of these terms and conditions or of any listing becomes invalid, unlawful or unenforceable under applicable law, that provision shall be revised sufficiently to make it compliant, and where no revision is possible, the provision shall be removed. Such modification or removal shall not affect the validity or enforceability of the remaining provisions.
