IMPORTANT INFORMATION FOR BIDDERS & BUYERS Conditions of Business All lots are offered subject to Conditions of Business of Dreamfactory AG as may be referred to herein. 1. Buyer's Premium A Buyer's Premium of 22% is applicable to all lots in this sale for Mechanical Music Instruments, Organs, Pianos, Pianolas, Automatons, Juke Boxes, Car Memorabilia etc. (Lot 1 to Lot 155) and a reduced Buyer's Premium of 12% for all Cars (Lot 156 to 177) for all in-house bidders, telephone bidders and written absentee bids. For internet bidders there will be an additional 3% surcharge, for all accepted high bids resulting in final sales to cover the internet platform commission. 2. Packing and transport We are not doing our own packing and transport but will try to do consolidated shipping to foreign countries to make shipping as reasonable as possible. This is not an obligation and generally the buyer is responsible for his own shipping. We are happy to provide local packers and shippers. Most of the lots in this sale are shipped from Degersheim (St. Gallen), Switzerland. There should be no import taxes for EC buyers. Lots located in USA are marked with "USA", lots located in Switzerland with "CH", Lots exhibited in the Dreamfactory (Degersheim, St. Gallen) with "CH, DF", lots located in Belgium with "BE", lots located in France with "FR", lots located in Cyprus with "CYPRUS" or "ZYPERN" and lots in Italy with "ITALY" or "ITALIEN " at the end of each description. 3. Estimates and Reserves Estimates are published as a guide only and are subject to review. The actual hammer price of a lot may be higher or lower than the range of figures given and there are no predetermined starting prices. Estimates can be subject to revision in which case a sale room notice will be posted. The estimates printed in the auction catalogue are exclusive of buyer's premium and taxes. Many lots are subject to reserves. The reserve price is never set higher than the low e stimate. The auctioneer is allowed to rise the bid to the reserve price. 4. Examination of Lots (a) Dreamfactory AG's knowledge of lots is partly dependent on information provided by the seller and the auction house is unable to exercise exhaustive due diligence on each lot. Each lot is available for examination before sale. Bidders are responsible for carrying out examinations and research before sale to satisfy themselves over the condition of lots and accuracy of descriptions. (b) All verbal and/or written information provided to Bidders relating to lots, including descriptions in the catalogue, condition reports or elsewhere are statements of Dreamfactory/ALZ's opinion and not representations of fact. Estimates may not be relied on as a prediction of the selling price or value of the lot and may be revised from time to time at Dreamfactory's absolute discretion. The auctioneer acts as agent only and disclaims any responsibility for default by sellers or buyers. (c) If description is made up in more than one language - always the English description is relevant. (d) When preview is not offered at specific times in the catalogue- it can only take place by appointment. 5. Bidding at Auction (a) The auction house has absolute discretion to refuse admission to the auction. Before sale, Bidders must complete a Registration Form and supply such information and references as the auction house requires. Bidders are personally liable for their bid and are jointly and severally liable with their principal, if bidding as agent (in which case Dreamfactory's prior and express consent must be obtained). For first time bidder we will charge the credit card with $ 1 for verification purposes, which will be refunded with purchase. (b) Dreamfactory AG advises Bidders to attend the auction, but Dreamfactory AG will endeavor to execute absentee written or telephone bids provided that they are, in Dreamfactory/ALZ's opinion, received in sufficient time and in legible form. (c) If available, written and telephone bidding is offered as a free service at the bidder's risk and subject to Dreamfactory AG's other commitments. The auction house is therefore not liable for failure to execute such bids. Telephone bidding may be recorded. On a tie bid the first written bid has priority and floor bids have priority above all other bids (unless telephone bids). (d) Bidding increments shall be at the auctioneer's sole discretion. They are normally around 10 % of the proceeding bid. 6. Import, Export and Copyright Restrictions Dreamfactory AG and the seller make no representations or warranties as to whether any lot is subject to import, export or copyright restrictions. It is in the Buyer's sole responsibility to obtain any copyright clearance or any necessary import, export or other license required by law, including licenses required under the Convention on the International Trade in Endangered Species (CITES). 7. Conduct of the Auction (a) The auctioneer has discretion to refuse bids, withdraw or re-offer lots for sale (including after the fall of the hammer) if he/she believes that there may be an error or dispute, and may also take such other action as he/she reasonably deems necessary. (b) The auctioneer will commence and advance the bidding in such increments as he/she considers appropriate and is entitled to place bids on the Seller's behalf up to the Reserve Price for the lot, where applicable. (c) Subject to condition the contract between the buyer and the seller is concluded on the striking of the auctioneer's hammer. (d) Any post-auction sale of lots shall incorporate these Conditions of Business. 8. Payment and Collection (a) Unless otherwise agreed in advance, payment of the Purchase Price is due in USD immediately after the auction (the "Payment Date"). b) Title in a lot will not pass to the buyer until the auction has received the purchase price. Dreamfactory AG will generally not release a lot to a buyer before payment. Earlier release shall not affect passing of title or the buyer's obligation to pay the purchase price, as above. (c) The refusal of any license or permit required by law, shall not affect the buyer's obligation to pay for the lot. (d) On receipt of cleared funds, the buyer may collect lots from the saleroom during the auction and immediately after its completion. There after all purchased lots will be transferred to Dreamfactory AG's appointed shipper and independent storage, details of which are printed in the auction catalogue or available from the auction house. Purchased lots in the possession of the appointed company will be subject to their own Conditions of Business and insurance arrangements. (e) All packing and handling of lots is at the buyer's risk. The auction house will not be liable for any acts or omissions of third party shippers, storage companies or packers. (f) We will be helpful to pack, crate and ship the lots securely to you! The buyer must pay all extra costs for handling, crating, packing and shipping! Please note that it could be possible, that there will be extra costs for the customs. Please note that Switzerland is not in the EU! 9. Payment (a) Payments in person can be made in the sale room on the day of the auction up to CHF 100'000 in cash according to Swiss Law. (b) For alliInternet bidders, the payment must be received in our bank account or PayPal account within 7 (seven) working - days after the auction is closed. PayPal and Credit Card charges will be added to the final bill (normally 3 % extra). Bank charges are invoiced to the buyer and added to the bill. (c) Non-payment or late payment will incur storage charges and damage compensation. 10. Forgeries Any lot which proves to be a deliberate forgery (as defined) may be returned to the auction house within 21 days of the auction, provided it is in the same condition as when bought. If we are satisfied from the evidence presented, that the Lot is a deliberate forgery we will refund the money paid for the lot including any buyer's premium. DREAMFACTRY AG, Degersheim, June 01., 2016 Versteigerungsbedingungen / Auktionsbedingungen Die Teilnahme an der Auktion erfolgt mit der Anerkennung und vorbehaltloser Annahme vorliegender Auktionsbedingungen: 1. GEBOT - Die Abgabe eines Gebotes bedeutet eine verbindliche Offerte. - Der Bieter bleibt an sein Gebot gebunden, bis dieses entweder überboten oder von der Auktionsleitung abgelehnt wird. - Gebote Unbekannter können von der Auktionsleitung zurückgewiesen werden. - Nicht anwesende Personen können der Auktionsleitung Steigerungsgebote schriftlich mitteilen. Diese Gebote gelten als maximale Gebote, zuzüglich Aufgeld in bar. Änderungen eines schriftlichen Gebotes bedürfen der Schriftform; sie müssen spätestens am Freitag, 10. Juni 2016, 18:00 Uhr vorliegen. 2. VERSTEIGERUNGSOBJEKTE - Die Objekte werden im Namen und auf Rechnung der Einlieferer ange- boten und verkauft - Die Dreamfactory AG und die Verkäuferschaft lehnen jede Gewährleistung für Alter, Herkunft, Zustand und Qualität der zur Versteigerung gelangenden Fahrzeuge und Objekte ab. Die Objekte werden in dem Zustand verkauft, in welchem sie sich zum Zeitpunkt des Zuschlages befinden. Tacho-Stände gelten, soweit nicht ausdrücklich anders vereinbart, als nicht garantiert. - Sämtliche Objekte sind an der vorausgehenden Ausstellung zu besichtigen. Es besteht die Möglichkeit, sich über deren Zustand und Wert ins Bild zu setzen und zu informieren. Die Beschreibung der Objekte erfolgt auf Grund des letzten aktuellen Kenntnisstandes nach bestem Wissen und Gewissen. Die Dreamfactory AG haftet nicht für offene oder verdeckte Mängel. 3. ZUSCHLAG/ EIGENTUMSÜBERGANG - Das Objekt wird dem Meistbietenden zugeschlagen. Das Objekt wird erst nach vollständiger Bezahlung an den Käufer ausgeliefert. Der Zuschlag kann unter Vorbehalt erfolgen: d.h. Liegt ein Gebot wenig unter der vorgegebenen Limite, so kann der Auktionator das Lot für den Bieter verbindlich «unter Vorbehalt» zuschlagen. Die Dreamfactory AG wird Rücksprache mit dem Einlieferer nehmen und den Bieter zu einem späteren Zeitpunkt über sein Gebot informieren. - Bei Differenzen zwischen zwei oder mehreren Bietern kann das Objekt noch einmal ausgeboten werden Sobald der Zuschlag erfolgt ist, werden keine Beanstandungen mehr zugelassen. 4. ZUSCHLAGPREIS/KOSTEN Auf jedes ersteigerte Objekt ist ein auktionsübliches Aufgeld von 22% zu entrichten. Für Fahrzeuge (Los Nr. 156 bis 177) gilt ein ermässigtes Aufgeld von 12%. Für erteilte Zuschläge an Internet Live-Bieter wird darüber hinaus in beiden Kategorien ein Zuschlag von 3% zur Deckung der Kosten für das Live-Bieten-System berechnet. 5. BEZAHLUNG DER STEIGERUNGSOBJEKTE - Die Bezahlung der ersteigerten Fahrzeuge/Objekte muss bis Montag, 20. Juni 2016 erfolgt sein. - Jeder Käufer wird vor dem Verlassen des Auktionssaales gebeten, im Auktionsbüro die entsprechenden Formalitäten in Empfang zu nehmen und eine entsprechende à Konto Zahlung zu leisten. 6. AUSLIEFERUNG DER STEIGERUNGSOBJEKTE - Die Auslieferung der ersteigerten Objekte erfolgt erst nach der Auktion und nach vollständiger Bezahlung. - Die Fahrzeuge/Objekte sind bis am Montag 27. Juni 2016 abzuholen. - Die Objekte /Fahrzeuge, die nicht fristgerecht abgeholt werden, werden zu Lasten des Käufers ausgelagert. 7. RECHTSFRAGEN/HAFTUNG Die Dreamfactory AG behält sich das Recht vor, Änderungen und Hinweise bezüglich der Fahrzeug- bzw. Objekt- Beschreibung vor und während der Ausstellung oder bis zum Zuschlag hin anzubringen. Sobald der Zuschlag erfolgt ist, können keine Mängelrügen mehr zugelassen werden. - Die Dreamfactory AG als Verkaufskommissionärin gemäss Artikel 425 ff OG, handelt für Rechnung des Einlieferers. Jede Haftung für Mängel ist nach Massgabe von Ziff. 2. Wegbedungen. Allfällige Mängelrügen, Wandelungs- oder Minderungsansprüche sind direkt an den Einlieferer als Verkäuferschaft zu richten. Kein Vertreter bzw. Angestellter der Dreamfactory AG ist legitimiert, davon abweichende Garantieren abzugeben. - Die Auktionsleitung kann ohne Begründung ausserhalb der numerischen Reihenfolge Lots anbieten, sowie Katalognummern vereinigen, trennen oder zurückziehen. - Jede Teilnahme an der Auktion erfolgt auf eigenes Risiko. Bei Beschädigung ausgestellter Objekte ist der Verursacher haftbar. - Jede Wegschaffung der ersteigerten Objekte, auch durch Dritte, ist mit eigenen Kosten und Risiken verbunden. - Die Rechnung der ersteigerten Objekte ist gemäss Ziffer 5 zu bezahlen. Wird dies versäumt, kann der Versteigerer wahlweise die Erfüllung des Kaufvertrages unter Verrechnung eines Verzugszinses von 1% monatlich auf dem Zuschlagpreis plus Aufgeld und der Kosten für das Inkasso verlangen. Er kann aber auch ohne Fristansetzung oder sonstige Mitteilung unter Annullierung des Zuschlages vom Kaufvertrag zurücktreten und das Objekt freihändig veräussern. Der Ersteigerer haftet in diesem Fall für alle aus der Nichtzahlung oder Zahlungsverspätung entstehenden Schäden, insbesondere für einen Mindererlös. Eine eventuell geleistete Anzahlung wird auf den Schaden angerechnet. - Die Versteigerung und sämtliche daraus resultierenden Streitigkeiten unterliegen dem Schweizer Recht und der Beurteilung durch die St. Gallische Gerichtsbarkeit, unter Vorbehalt des Weiterzuges an das Schweizerische Bundesgericht in Lausanne. Dies gilt ungeachtet des Rechtsdomizils der beteiligten Parteien. - Für die Beurteilung von Streitigkeiten ist die deutsche Fassung vorliegender Verkaufsbedingungen, rsp. Auktionsbedingungen massgebend. - Der Gerichtsstand ist Degersheim, Kanton St. Gallen, Schweiz.. 8. ALLGEMEINES - Die Versteigerungs- und Verkaufsbedingungen werden jeder interessierten Person bekannt gemacht und sind während der Ausstellung und Auktion im Auktionssaal angschlagen. - Zum Mitbieten und Ersteigern eines Objektes sind Formalitäten, Name und Adresse des Käufers erforderlich. Das Registrieren berechtigt zum Bieten. - Es ist Sache des Käufers sich gegen Risiken und Verlust, Diebstahl Beschädigung und Zerstörung der betreffenden Objekte durch Abschluss einer Versicherung rechtzeitig zu schützen.
