CONDITIONS OF BUSINESS FOR THE DIONNET AUCTION TO BE HELD ON MONDAY 22ND OF OCTOBER at DROUOT PARIS FRANCE The property offered in this sale and listed in this catalogue will be sold by ADER auction house registred in France at 2002-448 . The following terms and conditions govern the sale of all the property offered (as amended by any posted notices or prior to or during the auction): 1. (a) ADER assumes no risk, liability or responsibility for the rarity or authenticity or authorship of any property identified in this catalogue (that is, the rarity of the object, the identity of the creator or the period, culture, source or origin, as the case may be, with which the creation of any property is identified herein). (b) All property is sold with all faults and imperfections and errors of description ADER makes no representations or warranties of any kind or nature, expressed or implied, with respect to the property and in no event shall either of them be responsible for the correctness of any descriptions of property, nor be deemed to have made, any representations or warranties of physical condition, size, quality, rarity, importance, genuineness, attribution, authenticity or provenance of the property. No statement in the auction catalogue or other description made at the sale, in any sale invoice or elsewhere, shall be deemed such a representation or warranty. (c) Prospective bidders should inspect the images of the property before bidding to determine its condition, size and whether or not it has been repaired or restored. (d) Property may be offered subject to reserves. The reserve is a confidential minimum price below which the lot will not be sold. In most cases, the reserve will be set below the estimated range, but in no case will it exceed the estimates listed. 2. Any property may be withdrawn by ADER at any time before the actual sale. 3. The estimates provided in this catalogue are our opinion of the price that a willing buyer would pay for the property at auction, based, where possible, on prices paid for comparable items sold in the past. They are neither a representation nor a prediction of the actual selling price that will be realized at auction, post-auction sale, or upon resale, which may be substantially different from these estimates. We shall not be liable in any way for such a difference. 5. Unless otherwise announced at the time of sale, all bids are per lot as numbered in the catalogue. 6. ADER reserves the right to reject a bid from any bidder. The highest bidder acknowledged by the auctioneer shall be the purchaser. In the event of any dispute between bidders, the auctioneer shall have sole and final discretion either to determine the successful bidder or to re-offer and resell the lot in dispute. If any dispute arises after the sale, the sale records of ADER shall be conclusive in all respects. 7. If the auctioneer determines that any opening bid is not commensurate with the value of the property, he may reject the same and withdraw the property from sale, and if, having acknowledged an opening bid, he decides that any advance thereafter is insufficient, he may reject the advance. 8. If you place absentee bids with the Auction House, eBay Live Auctions or Live Auctioneers and also bid in person, by phone or any other means, it is solely your responsibility to cancel any or all absentee bids prior to the start of the auction. If you do not or cannot, regardless of reason, you will be held responsible for the property's purchase. 9. On the fall of the auctioneer's hammer, the highest bidder shall be deemed to have purchased the offered lot subject to all of the conditions set forth herein and thereupon (a) assumes the risk and responsibility thereof, and (b) will pay the full purchase price or such part as ADER may require. ADER will not release a lot to a successful buyer until payment of the total amount due has been made. After payment, the purchaser shall remove the property from ADER at Paris. If the property is not so removed in Paris, it may be sent by ADER at its discretion to storage for the account, risk and expense of the purchaser and such charges will then be added to the purchase price of the property. If the foregoing conditions and other applicable conditions are not complied with, in addition to other remedies available to ADER by law including, without limitation, the right to hold the purchaser liable for the bid price, ADER, at its option, may either (a) cancel the sale, retaining as liquidated damages all payments made by the purchaser or (b) resell the property on three days notice to the purchaser and for the account and risk of the purchaser, either publicly or privately, and in such event the purchaser shall be liable for payment of any shortfall between the original sale price and the price achieved upon resale, all other charges due hereunder and any incidental damages. 10. Payments for purchases must be made in EUROS by electronic transfer. 11. Items purchased via registration with Live Auctioneers and eBay Live Auctions, will be subject to a buyer's premium of 5% of the successful bid price. 12. ADER is not responsible for errors or omissions arising out of or resulting from mechanical difficulties or failure. 13. In no circumstances will ADER rescind any purchase made or refund the amount paid in respect of any lot. 14. Neither shipping nor delivery costs are included in the price at which a lot is knocked down by the auctioneer to the buyer. Should the buyer require details of a local shipping company, ADER will be happy to provide suggestions, but will accept no liability in relation to same. ADER may, in its discretion and at a purchaser's request, package and ship items as directed by the purchaser. In such event, purchaser agrees that (a) all such packaging, handling and shipping is at the sole risk of the purchaser and that ADER shall have no liability for any loss or damage to such items, and (b) purchaser shall pay in advance, all packaging expenses, including labour, materials and postage and carrier fees, and all insurance charges. Allow four to six weeks for shipping. 15. Insurance cover for the property will only be provided up until the point at which the buyer or his representative removes the property from the storage premises for delivery to the buyer. 16. Bidding on any item indicates your acceptance of these terms and all other terms announced at the time of sale whether bidding in person, through a representative, by phone, by Internet, or other absentee bid. 19. These Conditions of Sale, as well as the purchaser's, ADER rights and obligations hereunder, shall be governed by and construed and enforced in accordance with the laws of France. By bidding at an auction, whether present in person or by agent, commission bid, telephone, online or other means, the purchaser shall be deemed to have consented to the exclusive jurisdiction of Court of Paris.
