GENERAL CONDITIONS OF SALE 1. Before the beginning of the auction, a pre-viewing of the items will be arranged by San Marco Casa d'Aste S.p.A. During this time, the Director of the sale, or Auctioneer, and his representatives will be available for any clarifications; the purpose of the pre-auction viewing is to allow for a close examination of the conditions and quality of the items, as well as to rectify any error and inaccuracy that may have occurred during the compilation of the catalogue. Objections made to such regards are not admitted after the sale. To avoid exclusion, any objection to such regard must be raised against San Marco Casa d'Aste S.p.A. before the knocking down of the item of interest. 2. Items are sold in their "existing conditions". Such conditions include all defects and imperfections already existing at the time the single item is knocked down. 3. Registration is necessary in order to participate to the sale procedure through auction (see "Information for prospective buyers"). 4. Sale is carried out to the highest bidder, whose bid has been accepted by the Director of the sale or Auctioneer. The hammer-stroke of the Director of the sale, or Auctioneer, determines the acceptance of the bid. 5. The Director of the sale or Auctioneer is entitled to accept bids on behalf of clients on commission at determined prices and upon a precise mandate. A bid made in the salesroom during the auction will always prevail over a commissioned bid. During the auction, the Director of the sale or Auctioneer is entitled to change the sale order, join or separate the lots, take back any lot and to adopt any measure that is he believes to be suitable to the circumstances, to accept telephone commissions and authorize audio and video connections to participate to the sale. 6. Lots will be exclusively knocked down by the Director of the sale, or Auctioneer, and the buyer is required to make payment according to the conditions stated in art. 7. It must be pointed out that sales require immediate cash payments. 7. The Buyer is required to pay at any event, in addition to the price of his accepted bid, a premium of 25% up to €250.000,00, and of 18,5% for the amount of price exceeding such sum. This premium includes the VAT due in accordance with the existing tax legislation. According to the Italian Law Decree n. 143/91 and subsequent modifications, San Marco Casa d'Aste S.p.A. cannot accept cash payments exceeding €12.500,00. San Marco Casa d'Aste S.p.A. is furthermore obliged to ask his clients for a valid ID and a conformation of their domicile. 8. Purchased lots are to be collected at the buyer's own risk and care upon payment made as outlined above. Upon expiration of the deadline, San Marco Casa d'Aste S.p.A. will charge the buyer for storage and insurance costs incurred up to the moment of collection. 9. San Marco Casa d'Aste S.p.A. acts as an agent for the owners of the items for sale. Therefore San Marco Casa d'Aste S.p.A. does not acquire any rights, nor directly takes on any obligations, exept when San Marco Casa d'Aste S.p.A. is the owner of the item. All the responsibilities pursuant to articles 1476 ff. of the Italian Civil Code continue to rest on the shoulders of those who own the items. 10. The items presented in the catalogue have individual descriptions of authenticity and attribution. It must be underlined that each single description constitutes the expression of a critical opinion. Any item can always be examined by the public during the pre-auction viewing. For Old Master and 19th century paintings, the period and school in which the attributed artist lived and worked is guaranteed. The paintings presented in the catalogue of Modern and Contemporary Art are usually accompanied by certificates of authenticity which are indicated in the appropriate catalogue entries. No other certificate, appraisal or opinion requested or presented after the sale will be considered valid grounds for objections made to San Marco Casa d'Aste S.p.A. regarding the authenticity of any works. 11. Any complaint will be taken into consideration only if presented in writings and by registered post (that is by "raccomandata a/r") to San Marco Casa d'Aste S.p.A. within 15 (fifteen) days after the date of collection of the purchased work. The legitimacy of a complaint that is duly communicated will be evaluated on the basis of a cross-examination between a researcher or independent expert appointed by San Marco Casa d'Aste S.p.A. and an equally qualified expert nominated by the buyer. 12. A complaint that is deemed legitimate will lead simply to a refund of the amount paid, only upon the return of the item and only if the buyer is able to return such item to San Marco Casa d'Aste S.p.A. free from third party rights and provided that the item is in the same conditions it was at the time it was sold. 13. The items that have already been declared of significant interest as per art. 6 of the Legislative Decree n. 490 of 29/10/1999 are indicated as such in the catalogue by San Marco Casa d'Aste S.p.A. For such items, the Government may exercise the right of pre-emption at the hammer price; in these instances, the sale will be effective only after the legal period for exercising the right of pre-emption has elapsed. If the right of pre-emption is indeed exercised, the highest bidder will be entitled to a refund of any amounts paid. 14. Any item datable to over fifty years ago is subject to the corresponding protective regulations and, in particular, cannot be transported outside the Italian territory without a certificate of free circulation issued by the competent Authority. It must be underlined that all charges for export licences or certificates as well as for any other required documentation shall be borne by the buyer. The delay in obtaining licenses or the denial of licenses shall in no way justify the rescission or the cancellation of any sale, nor shall it justify the delay in making full payment by the purchaser for the related lot.San Marco Casa d'Aste S.p.A. grants to all his foreign customers the opportunity of paying and collecting the items shown in the catalogue under the condition that an export permission is given. Should the Italian authorities be contrary to the export of the item, the sale of such item will be considered as void. 15. ARTIST'S RESALE RIGHT On 9 April 2006, the Decreto Legislativo dated 13 February 2006, n. 118 came into force implementing the Directive 2001/84/CE, thereby introducing into the Italian legal system the right for authors of works of art and manuscripts and their beneficiaries to receive a royalty from the proceeds of each subsequent sale of the work following the original sale. Artist's Resale Right is payable only if the sale price exceeds €3.000,00 and is calculated as follows: a) 4% royalty rate for hammer price from €3.000,00 to €50.000,00 b) 3% royalty rate for hammer price from €50.000,01 to €200.000,00 c) 1% royalty rate for hammer price from €200.000,01 to €350.000,00 d) 0,5% royalty rate for hammer price from €350.000,01 to €500.000,00 e) 0,25% royalty rate for hammer price exceeding €500.000,00 The buyer undertakes to pay the Artist's Resale Right in addition to the sale price and buyer's premium. San Marco Casa d'Aste Spa is responsible for forwarding any Artist's Resale Rights to the Italian Society of Authors and Editors (SIAE). 16. The present terms of sale and the contract are regulated by Italian law. All complaints regarding the present terms of sale and the contract are under the exclusive jurisdiction of the Venice Civil Court. 17. The purchaser hereby confirms his consent to the processing, disclosure and transfer of sensitive information for the provision of auction and other related services, in accordance with article 23 of Italian Legislative Decree 30/06/2003, n. 196; the purchaser hereby confirms also having received the information provided for by art. 13 of Italian Legislative Decree 30/06/2003, n.196. 18. The present general sale regulations are considered to be tacitly accepted by all participants to the auction. CONDIZIONI GENERALI DI VENDITA 1. In una fase precedente l'asta, la San Marco Casa d'Aste SpA provvederà all'esposizione delle opere, durante la quale il direttore della vendita, o banditore, ed i suoi incaricati saranno a disposizione per ogni chiarimento; l'esposizione ha lo scopo di far bene esaminare lo stato di conservazione e la qualità degli oggetti e chiarire eventuali errori ed inesattezze in cui si fosse incorsi nella compilazione del catalogo, la cui contestazione dovrà essere formulata, a pena di decadenza, nei confronti di San Marco Casa d'Aste SpA prima dell'aggiudicazione. 2. I lotti sono venduti nelle "condizioni in cui si trovano" ivi compresi difetti ed imperfezioni presenti al momento dell'aggiudicazione. 3. La preventiva registrazione è condizione necessaria per la partecipazione alla procedura di vendita mediante asta (vedi "informazioni generali per i potenziali acquirenti"). 4. La vendita dei lotti si conclude in favore del soggetto che presenterà l'offerta pi๠alta accettata dal Direttore di vendita, o banditore. Il colpo di martello del direttore di vendita o banditore determina l'accettazione dell'offerta. 5. Il Direttore della vendita o banditore puಠaccettare commissioni d'acquisto, a prezzi stabiliti, su preciso mandato. L'offerta effettuata in sala e durante l'asta prevale sempre sulla commissione d'acquisto. Durante l'asta, il Direttore della vendita, o banditore, ha la facoltà di variare l'ordine di vendita ivi compresa la possibilità di abbinare, separare, ritirare un lotto dall'asta. Il Direttore della vendita o banditore puಠadottare qualsiasi provvedimento che ritenga adatto alle circostanze, puಠaccettare commissioni telefoniche e autorizzare connessioni in audio e videoconferenza finalizzate alla partecipazione all'asta. 6. Gli oggetti saranno aggiudicati esclusivamente dal Direttore della vendita, o banditore, e l'acquirente è tenuto ad effettuarne il pagamento secondo le modalità prescritte dall'art. 7. Si precisa che le vendite si intendono immediatamente regolate per cassa. 7. L'acquirente è tenuto a pagare in ogni caso, oltre al prezzo di aggiudicazione, la commissione d'acquisto pari al 25% fino a €250.000, e al 18,5% sul prezzo di aggiudicazione eccedente tale importo, comprensivo dell'iva prevista dalla normativa vigente. In conformità a quanto previsto dal d.l. 143/91 e successive modifiche, la San Marco Casa d'Asta SpA non accetta il pagamento in contanti per importi superiori ad €12.500,00. La San Marco Casa d'Aste SpA è tenuta, altresà¬, a richiedere ai propri clienti l'esibizione di un documento di identità e la conferma del domicilio. 8. I lotti venduti devono essere tempestivamente ritirati dall'acquirente a sua cura e rischio previo pagamento da effettuarsi secondo le predette modalità . Scaduto il termine previsto, la San Marco Casa d'Aste SpA addebiterà tutti i diritti di custodia e il rimborso delle spese di assicurazione maturati fino al momento del ritiro. 9. La San Marco Casa d'Aste SpA agisce in qualità di mandataria con rappresentanza dei proprietari delle opere poste in vendita; pertanto, non acquista diritti nà© assume obblighi in proprio ad eccezione dei casi in cui è proprietaria di un lotto. Ogni responsabilità ex artt. 1476 ss. cod. civ. continua a gravare in capo ai proprietari delle opere. 10. Le opere presenti nel catalogo hanno schede dettagliate che ne descrivono l'autenticità e l'attribuzione. Si precisa che ogni singola scheda costituisce esclusivamente espressione di un'opinione critica. Le opere infatti possono essere sempre esaminate dal pubblico durante l'esposizione che precede l'asta. Per i dipinti antichi e del XIX secolo, si certifica l'epoca in cui l'autore attribuito è vissuto e la scuola cui esso appartiene. I dipinti presentati nei cataloghi di arte moderna e contemporanea sono, solitamente, accompagnati da certificati di autenticità , indicati nelle relative schede. Nessun altro diverso certificato, perizia o opinione, richiesti o presentati a vendita avvenuta, potrà essere fatto valere quale motivo di contestazione alla San Marco Casa d'Aste SpA dell'autenticità di tali opere. 11. Gli eventuali reclami potranno essere presi in considerazione solo se comunicati in forma scritta e mezzo raccomandata a/r alla San Marco Casa d'Aste SpA entro e non oltre 15 (quindici) giorni dalla data del ritiro del bene acquistato. La fondatezza di un reclamo, tempestivamente proposto, sarà valutata in contraddittorio fra un studioso o esperto indipendente nominato dalla casa d'aste e uno studioso o esperto indipendente e di pari qualifica indicato dall'acquirente. 12. Un reclamo riconosciuto fondato comporta il semplice rimborso della somma effettivamente pagata, a fronte della restituzione dell'opera e sempre che l'acquirente sia in grado di riconsegnare alla San Marco Casa d'Aste SpA il lotto libero da rivendicazioni o da ogni pretesa da parte di terzi e il lotto sia nelle stesse condizioni in cui si trovava alla data della vendita. 13. La San Marco Casa d'Aste SpA provvede ad indicare nel catalogo le opere dichiarate di importante interesse storico ed artistico ai sensi dell'art. 6 d.l. 29/10/99 n. 490. Su queste opere lo Stato puಠesercitare il diritto di prelazione; la vendita, pertanto, avrà efficacia solo dopo che sia trascorso il termine di legge per l'esercizio del diritto di prelazione. Nel caso in cui lo Stato eserciti il diritto di prelazione, l'aggiudicatario avrà diritto al rimborso delle somme eventualmente già pagate. 14. Tutte le opere databili ad oltre cinquanta anni sono soggette alle relative norme di tutela. In particolare, non possono essere trasportate fuori dal territorio italiano senza avere ottenuto il certificato di libera circolazione da parte della competente autorità . Si precisa che il costo del rilascio degli attestati di libera circolazione e/o licenza di esportazione è a carico dell'acquirente. Il ritardo nel rilascio di una qualsiasi licenza non costituisce una causa di risoluzione, di annullamento e nullità della vendita, nà© giustifica il ritardato pagamento da parte dell'acquirente. La San Marco Casa d'Aste SpA dà l'opportunità a tutti i clienti stranieri di pagare e ritirare i beni presentati nel catalogo a condizione che questi ottengano il permesso di esportazione. Nel caso lo Stato italiano ponga il veto all'esportazione la vendita sarà ritenuta nulla. 15. DIRITTO DI SEGUITO Il 9 aprile 2006 è entrato in vigore il Decreto Legislativo 13 febbraio 2006 n. 118 che, in attuazione della Direttiva 2001/84/CE, ha introdotto nell'ordinamento giuridico italiano il diritto degli autori di opere d'arte e di manoscritti, ed ai loro aventi causa, ad un compenso sul prezzo di ogni vendita dell'originale successiva alla prima (c.d. "diritto di seguito"). Il diritto di seguito è dovuto solo se il prezzo della vendita non è inferiore a 3.000,00 Euro. Esso è cosଠdeterminato: a) 4% per la parte del prezzo di vendita compresa tra €3.000,00 e €50.000,00 b) 3% per la parte del prezzo di vendita compresa tra €50.000,01 e €200.000,00 c) 1% per la parte del prezzo di vendita compresa tra €200.000,01 e €350.000,00 d) 0,5% per la parte del prezzo di vendita compresa tra €350.000,01 e €500.000,00 e) 0,25% per la parte di vendita superiore a €500.000,00 L'acquirente si impegna a pagare oltre al prezzo di aggiudicazione e alle commissioni d'acquisto il diritto di seguito nella percentuale sopra indicata. L'importo totale per il diritto di seguito non puಠessere comunque superiore a €12.500,00. San Marco Casa d'Aste Spa, in quanto casa d'aste, è tenuta a versare il diritto di seguito alla Società Italiana degli Autori ed Editori (SIAE). 16. Tutte le presenti condizioni generali di vendita vengono accettate tacitamente da tutti i soggetti partecipanti alla procedura di vendita all'asta. 17. Si precisa che le presenti condizioni di vendita ed il contratto sono disciplinati dalla legge italiana. Per tutte le controversie che dovessero sorgere per l'esecuzione e l'interpretazione relative alle presenti condizioni generali di vendita e al contratto è stabilita la competenza esclusiva del foro di Venezia. 18. Il soggetto acquirente dichiara di prestare il proprio espresso consenso ai sensi dell'art. 23 d.lgs. 30.06.2003 n. 196 alla trasmissione dei propri dati personali e dichiara, altresà¬, di aver ricevuto l'informativa di cui all'art. 13 d.lgs. 30.06.2003 n. 196.
